From and after the Closing, Seller shall cease (and cause its Subsidiaries to cease) all use of any Marks with the word “Blade”, the “swoosh” logo and any other Marks included in the Owned Business Intellectual Property and any Marks confusingly similar thereto (collectively “Business Marks”), except as expressly permitted under the Transition Services Agreement.
For the avoidance of doubt, neither Parent nor the Buyer shall assume any Seller Benefit Plans or any Liabilities with respect to any Seller Benefit Plan, and the Seller shall remain exclusively responsible for the funding, operation, and termination of all Seller Benefit Plans, except as otherwise provided in the Transition Services Agreement.
Except as set forth in the Transition Services Agreement, all such other Intellectual Property used in or necessary for the operation of the Business shall be available for use by Purchasers immediately after the Closing Date on the same terms and conditions in all material respects to those under which the Target Companies, B&W Canada or the Business used such Intellectual Property immediately prior to the Closing Date.
Employee will continue to perform the Transition Services until the earliest to occur of: (i) August 31, 2026, (ii) termination by Employee for any reason, (iii) termination by the Company for Cause, and (iv) a Change in Control Related Termination (such earliest date, the “Termination Date”).
The property and assets included in the Purchased Assets together with the services that are the subject of the Transition Services Agreement are, in all material respects, sufficient to operate the DNA data storage business of Seller and the Purchased Assets immediately after the Closing as the DNA data storage business of Seller is currently conducted.
