  • During the occurrence and continuance of an Event of Default, the foregoing provision with respect to the release to the Collateral Manager of the Required Loan Documents and documents by the Document Custodian upon request by the Collateral Manager shall be operative only to the extent that the Administrative Agent have consented to such release.

For the avoidance of doubt, with respect to any Loan originated by an Affiliate of CapitalSource Inc. and acquired by CapitalSource Finance or its successors and assigns from such Affiliate in compliance with Section 2.21, Required Loan Documents shall include duly executed originals or copies, as applicable, of each of the foregoing categories of documents with respect to the sale or transfer of each such Loan from such Affiliate to CapitalSource Finance.
