EMPLOYMENT OF CONTRACTOR. Contractor agrees to perform the scope of services referenced in this agreement and in the Sole Source Procurement documentation, which may be referenced and portions of which may be incorporated by reference into this Agreement. Services to be performed under this Agreement shall commence upon the date specified in the Notice to Proceed and shall remain in full force and effect unless formally modified or terminated by written notice, or until all project is completed and accepted by the Owner.
EMPLOYMENT OF CONTRACTOR. City hereby employs Contractor to perform services set forth in this Agreement. To accomplish that end, City may assign a Project Manager to personally direct the Services to be provided by Contractor and will notify Contractor in writing of City’s choice. City shall pay for all such materials and services provided which are consistent with the terms of this Agreement.
EMPLOYMENT OF CONTRACTOR. Agency hereby engages CONTRACTOR and CONTRACTOR hereby agrees to perform the services set forth in Exhibit A, in conformity with the terms of this Agreement. CONTRACTOR will complete all work in accordance with the Scope of Work/Work Schedule set forth in Exhibit A:
EMPLOYMENT OF CONTRACTOR. CONTRACTOR will perform as an independent contractor all services under this Contract to the prevailing professional standards consistent with the level of care and skill ordinarily exercised by members of its profession, both public and private, currently practicing in the same locality under similar conditions, including reasonable, informed judgments and prompt, timely action. If CONTRACTOR is representing that it has special expertise in one or more areas to be utilized in this Contract, then CONTRACTOR agrees to perform those special expertise services to the appropriate local, regional or national professional standards.
EMPLOYMENT OF CONTRACTOR. Contractor hereby agrees to perform services identified in letters of task agreement, submitted hereafter by PCTPA (hereinafter “Letters of Task Agreement”). Each Letter of Task Agreement shall specifically define and obligate the budget for services, the scope of services, and the expected term of the specified activity or project. All provisions of this Master Agreement shall be incorporated by reference into subsequent Letters of Task Agreement.
EMPLOYMENT OF CONTRACTOR. 7.1 Contractor is an independent contractor, and neither Contractor nor Contractor's principals, partners, employees or agents are servants, agents, or employees of WBC. Contractor shall perform all work by its own means and methods and WBC shall have no direct control of the work, it being understood that WBC is interested only in the ultimate results of the completed job. Contractor shall be solely responsible for its own acts and the acts of its employees while engaged in the work. As an independent contractor, Contractor shall be responsible for (i) all applicable state, federal, and other payroll taxes, including contributions and taxes assessed against any amounts paid to its employees, and (ii) any and all taxes or charges imposed by governmental authorities based upon or measured by Contractor's income or receipts, including without limitation any federal, state or local income of franchise taxes. Except where expressly authorized in writing by WBC, no employee, agent, subcontractor, or representative of Contractor shall represent himself to be an agent or authorized to act in the name or on behalf of WBC, nor at any time enter into any contract that shall purport to bind WBC in any way.
EMPLOYMENT OF CONTRACTOR. SEMSWA shall engage CONTRACTOR and CONTRACTOR hereby agrees to perform the construction services hereinafter set forth.
EMPLOYMENT OF CONTRACTOR. SPONSOR agrees to engage WSU as an independent contractor to render services needed to meet objectives specified in the Program. WSU shall commence the performance of the Program within thirty (30) days after the Effective Date. WSU shall use reasonable efforts to perform the Program consistent with the terms of this Agreement. The Program will be conducted by the principal investigator identified in this paragraph (“Principal Investigator”). The Principal Investigator will keep and maintain records containing laboratory data generated in the course of the Program in accordance with highest scientific standards of record keeping. The Program may be modified by mutual consent. SPONSOR shall have the right to review the data developed in the course of the performance of the Program on reasonable notice. At the conclusion of the research provided for herein, WSU shall provide SPONSOR with a copy of all data and other relevant information and reports generated by or under the guidance of the Principal Investigator regarding the Program. Sponsor shall treat such data, information and reports as confidential to WSU until published as provided in Section 9. The Principal Investigator shall be Xxxxxxx Xxxxxxx.
