Duties and Extent of Service. During the term of this Agreement, the Employee agrees to devote Employee's full business time energy and skill to the business of O2 and to the promotion of O2's interests as may be required for the fulfillment of Employee's obligations under this Agreement. Employee may provide services for third parties and engage in other employment so long as such other services and employment do not interfere with Employee's ability to provide the services set forth herein for O2 on a full-time basis, and the services do not violate any other covenant or obligation of the Employee herein. During the term of this Agreement, the Employee has a duty of loyalty to O2 and shall not engage in, or otherwise have an interest in, directly or indirectly, any other business activity that would adversely affect the Employee's ability to perform Employee's duties as set forth in this Agreement; provided, however, this constraint is not to be construed as preventing the Employee from investing Employee's assets in any form or manner that does not require any services on the part of the Employee and does not require Employee's operation of the affairs of the companies in which investments are made. Employee agrees that termination of Employee's employment, regardless of the method, reason or circumstances of such termination shall not relieve Employee of Employee's obligations under the restrictive covenants set forth herein.
Duties and Extent of Service. (a) During the Term, Executive shall serve as Chief Executive Officer and President of the Company and, in addition, in such other executive capacity or capacities for the Company, as may be commensurate with Executive’s seniority and experience and as determined by the Company’s Board of Directors (the “Board”). During the Term, the Company shall use its reasonable best efforts to ensure that Executive is re-elected as a director of the Company, and Executive agrees to serve in such capacity without additional compensation.

This offer is contingent upon approval by the Board of Directors of your option grant specifically. Promptly after the Grant Date, the Company and you will execute and deliver to each other the Company’s then standard form of stock option agreement, evidencing the Option and the terms thereof. As you know, the Option shall be subject to, and governed by, the terms and provisions of the Plan and your stock option agreement. NONDISCLOSURE, DEVELOPMENTS AND NON-COMPETITION As you know, prior to commencing, and as a condition to your employment with the Company, all employees are required to agree to sign a copy of the Company’s standard Nondisclosure, Developments, and Non-Competition Agreement. The Company will ask you to sign this agreement after you have signed and returned this letter and prior to or on your Start Date. At-Will Employment This letter shall not be construed as an agreement, either expressed or implied, to employ you for any stated term, and shall in no way alter the Company’s policy of employment at-will, under which both you and the Company remain free to terminate the employment relation...

In any event, after the Closing Date, Employee shall not take any action inconsistent with Employee's relationship and responsibilities as an employee of the Company and ACG or take any action which is intended, or may be reasonably expected, to harm the reputation, business, prospects, or operations of ACG.
