In the event the Restricted Stock Units vest and RSU Shares are issued to the Grantee within six (6) months of the Grant Date, the Grantee agrees that he or she will not dispose of any such RSU Shares in a manner which amounts to an offer for sale to the Hong Kong public prior to the six (6)-month anniversary of the Grant Date.
For the avoidance of doubt, if the Participant meets the definition of Retirement and remains employed for at least one year from the Grant Date, the Participant will receive credit for the provision of services condition for the full 36 months of the Performance Period; if the Participant does not remain employed for at least one year from the Grant Date, the Performance Share Units granted to the Participant pursuant to this Agreement shall be forfeited.
The Company shall cause the Performance Share Unit award to be appropriately recorded as of the Grant Date.
The equity grant to OIC shall vest over a period of thirty-six (36) months from the Grant Date, with vesting occurring in equal quarterly installments (i.e., 1/12th of the total grant every three months).
Except as otherwise provided in Sections 3.1(b) or 3.1(c) below, the Restricted Stock Units shall become vested and nonforfeitable in [three (3) equal installments on each of the first three (3) anniversaries of the Grant Date], as set forth on the Grant Details page (each such date, a “Vesting Date”), so long as the Grantee continues to be employed by the Company or a Subsidiary through each such Vesting Date.
