Performance of his duties hereunder shall in no event require that the Executive work on a regular basis at any location other than within twenty (20) miles of the Company's present office location.
Performance of his duties for the Company and his obligations under the terms of this Agreement does not and will not cause Employee to breach any agreement, commitment or understanding Employee has with any other party, whether formal or informal, to assign to such other party inventions Employee may hereafter make, or to keep in confidence proprietary information of such other party which Employee acquired or learned prior to Employee's employment by the Company.
The Board or any designated officer shall perform an annual review of Employee's Base Salary based on Employee's Performance of his duties and the Company's other compensation policies; provided that any increase in the Base Salary shall require approval of the Board.
The foregoing limitations shall not prohibit Executive from making personal investments in such form or manner as will not materially interfere with Executive's Performance of his duties under this Agreement.
Employee shall not disclose or use at any time, either during the Term or thereafter, to any person or entity or use for his own direct or indirect benefit any Confidential Information (as defined below) of which Employer is or becomes aware, whether or not such information is developed by Employee, except to the extent that such disclosure or use is directly related to and required by Employee's Performance of his duties under this Agreement.

However, this indemnity shall not include any expenses incurred by any member of the Committee in respect of matters as to which such member shall be finally adjudicated in any action, suit or proceeding to have been guilty of willful misconduct in the Performance of his duties as a member of the Committee.
Nothing in this Agreement shall preclude the Employee from devoting time to managing his personal investments, provided that such investments are not in competition with the business of the Company and that such activities do not unreasonably interfere with the Performance of his duties hereunder.
