Customer Requirements. Customer will be required to maintain complex passwords for their User accounts where applicable. For any such passwords LightEdge will provide a secure URL that any User can access to change passwords. All User passwords are set to a ninety (90) day password expiration schedule by default. LightEdge is not responsible for unexpected use of Services whether by ex-employees, compromised User passwords or any other misuse of Customer accounts. Customer shall be responsible for all costs incurred by such unexpected use of Service. Customer shall be fully responsible for providing to LightEdge at Customer’s own expense and in a timely manner the following: - All security for its Services and systems used or accessible in connection with Service; - Cooperative testing of all Customer-provided hardware, software, and Services for compatibility with Service; - Designating an Authorized Contact(s) to be the point of contact to interface with LightEdge Technical Support; - All cabling necessary to support Service; and - Physical and remote management access to any and all Servers onto which Service is installed.
Customer Requirements. (a) Where the Goods or Services under this Order are or will be sold, or incorporated into goods or services that are or will be sold, by Buyer to an original equipment manufacturer of vehicles, whether directly or indirectly through an upper tier supplier, or any other third party customer (collectively, the “Customer” or “OEM Customer”), Seller shall take such steps, provide such disclosure, comply with such requirements and do all other things as Buyer deems necessary or desirable and within Seller’s control to enable Buyer to meet Buyer’s obligations under the terms and conditions of any contract or purchase order or other document (the “Customer Terms”) that may be applicable to Buyer from time to time in respect of its direct or indirect supply of such goods or services to the Customer, including: delivery, packaging and labelling requirements; warranties and warranty periods; intellectual property rights and indemnification; confidentiality; access to facilities and records; and replacement and service parts. Buyer may, from time to time, in its sole discretion, provide Seller with information regarding the applicable Customer Terms, but, in any event, Seller shall be responsible for ascertaining the Customer Terms that may affect Seller’s obligations hereunder and hereby agrees to be bound to such Customer Terms.
Customer Requirements. Customer acknowledges and agrees that it is Customer’s responsibility to assess whether the Services are appropriate and suitable for Customer’s requirements. Where Aptum provides advice about Customer’s Service requirements or the configuration of any equipment used in connection with Customer’s Service, such advice is given on the basis of a good faith recommendation using reasonable skill and care, but without any guarantee or warranty of performance.
Customer Requirements. The Registered Site, quantity and type of Modules, date of Owner invoice and the Owner contact information are described on Exhibit A. The Owner can initiate the reclamation and recycling process by contacting First Solar at its web site or any other address it provides for these purposes in the future. At that time, First Solar will verify the information described on Exhibit A and provide the Owner with instructions for disassembling and packaging the Modules at the Registered Site for shipment back to First Solar. As a condition to receiving the benefits of the Program, the Owner will be responsible for disassembling and packaging the Modules in containers designated by First Solar.
Customer Requirements. (a) Seller agrees to comply with the applicable terms and conditions of any agreements (“Customer Purchase Orders”) received by, or directly or indirectly applicable to, Buyer from a third party (“ Customer”), with respect to which Buyer agrees to supply to Customer, or incorporate into goods supplied to Customer, Supplies purchased by Buyer from Seller. Buyer may supply Seller with information regarding the Customer Purchase Orders, but Seller shall be responsible for ascertaining any terms and conditions contained in Customer Purchase Orders that may affect Seller’s obligations under this Order. Seller will do everything within its control to enable Buyer to meet the terms and conditions of the Customer Purchase Orders. If this Section conflicts any other paragraph in this Order, Buyer has the right by written notice to Seller to have the provisions of this Section prevail over any conflicting term between Buyer and Seller.
Customer Requirements. With a view to maximizing the potential market for the Equipment within the Territory, Distributor will report to IDSI on a quarterly basis, and assist IDSI in the assessment of the needs and requirements of the potential customer base in the Territory with respect to the Equipment, including, but not limited to: (i) a rolling twelve-month quantity forecast, (ii) quality of the Equipment, (iii) design, functional capability and additional features of the Equipment and related modifications, improvements and enhancements, and (iv) general market conditions of the Territory.
Customer Requirements. (a) Seller agrees to comply with the applicable terms and conditions of any agreements (“Customer Purchase Orders”) received by Buyer from a third party (“Customer”), or directly or indirectly applicable to Buyer, pursuant to which Buyer agrees to supply to Customer, or to incorporate into goods supplied to Customer, Supplies purchased by Buyer from Seller. The terms “Customer” and “Customer Purchase Orders” also include, where applicable, the final equipment manufacturer of goods or services into which the Supplies are or will be incorporated, as well as any intermediate entities in the supply chain between Buyer’s direct Customer and such final equipment manufacturer, and related terms and conditions of such Customers. Buyer may in its discretion supply Seller with information regarding Customer Purchase Orders. Seller will be responsible for ascertaining how such disclosed Customer Purchase Order affects Seller’s obligations under the Order, and Seller will meet all such disclosed Customer Purchase Order terms and conditions to the extent within Seller’s control. In the event of a conflict between the Order or these Terms and the terms of the Customer Purchase Order, Buyer will determine, in its sole and absolute discretion, which terms will supersede and apply to Seller. Seller will do everything within its control to enable Buyer to meet the terms and conditions of Customer Purchase Orders, including without limitation, cost and productivity terms and price reductions. By written notice to Seller, Buyer may elect to have the provisions of this Section prevail over any conflicting term between Buyer and Seller. (b) In the event that a Customer files or has filed against it a petition in bankruptcy or insolvency and, in the course of such proceeding and in connection with actual or threatened termination by the Customer of its contract(s) with Buyer (by rejection or otherwise), Buyer permits a reduction in the price(s) paid to Buyer for products incorporating the Supplies, the price paid to Seller for the Supplies from and after the date of such reduction will be automatically adjusted proportionally by the same percentage as the price paid to Buyer, and the Order will otherwise remain in effect without modification. (c) If a Customer directed, recommended, requested, suggested or otherwise identified Seller as the source from which Buyer is to obtain the Supplies (“Direct Supply Relationship”), then notwithstanding the particular payment terms otherwis...
