Service Parts. 9.1 For Products used in motor vehicle manufacturing, during the fifteen-year period after Buyer completes current model purchases for its customer, Seller will sell to Buyer Products to fulfill Buyer's customer's past model service and replacement requirements. During the fifteenth year of such period, Buyer and Seller will negotiate in good faith with regard to Seller's continued manufacture of service and replacement Products. All such parts will be sold at the prices specified in this Order plus actual cost differentials for packaging and manufacturing; provided, however, that such price adjustment, if any, shall become effective no sooner than six (6) months following the end of serial production.

Service Parts. 10.1 For Supplies used in the manufacture of motor vehicles, for a period of fifteen (15) years after Buyer completes current model purchases for its Customer or such longer time as may be required of Buyer by Buyer’s Customer, and for Supplies not used in the manufacture of motor vehicles, for a period of twelve (12) years after Buyer purchases the Supplies, Seller shall sell to Buyer the quantity of Supplies needed to fulfill Buyer’s Customer's past model service and replacement requirements (“Service Parts”). All such parts shall be sold at the last price specified in the latest revision to the Order plus the actual cost differentials for packaging, materials and manufacturing as a result of service volume levels but in no case to exceed twenty (20%) percent of the price for the last production year. During the fifteenth (15th) year of such period, Buyer and Seller shall negotiate in good faith with regard to Seller's continued manufacture of Service Parts.
Service Parts. Purchaser shall purchase and maintain a sufficient inventory of service parts as prescribed by Enova according to Enova's uniform parts inventory stocking guidelines in effect from time to time and based on the field population of Products to be serviced by Purchaser, so as to be able to fulfill its service responsibilities in a timely and professional manner. Purchaser may sell or deliver Enova parts only to end users who purchased Products from Purchaser or to another Enova QSP. Under no circumstances shall Purchaser sell, lease, distribute, deliver, or transfer Enova parts unless done in connection with a specific Panther Drive System warranty repair or replacement.
Service Parts. 10.1 Seller shall supply and maintain a reasonable inventory of spare and replacement parts (“Service Parts”) for the duration of the reasonable life of the Supplies needed to fulfill Buyer and Buyer’s customer's service and replacement requirements at reasonable prices. If Seller discontinues the manufacture or supply of any Service Parts, it shall inform Xxxxx at least six (6) months before such discontinuation in order to give Buyer the opportunity to place a final order.
Service Parts. If requested by Hillrom, Seller will provide Hillrom with service parts for Products for ten (10) years after Hillrom’s final Purchase Order at price(s) negotiated by the parties at the time of Hillrom’s request.‌

Unless otherwise agreed to by Xxxxx, the price during the first ten years of this period will be those in effect at the conclusion of current model purchases. For an additional five years, or so long as Buyer’s customer requires service parts, whichever is longer, (or a different period if agreed in writing by both parties), the Seller will sell Material to Buyer in order to fulfill Buyer’s past model service and replacement parts requirements, at prices equal to the most recent production prices under the Agreement taking into account actual, documented differences in the cost of materials, packaging, and costs of production after all of Buyer’s current model purchases have been completed, as mutually and reasonably agreed by the parties. If the Material are systems or modules, Seller will sell each component or part at a price that does not, collectively, exceed the system or module price specified in the Agreement, less assembly costs, plus any actual cost differential for packaging.

Service Parts. After the termination of the manufacturing of the Products for the mass production, Supplier shall continue to supply Products for the aftermarket spare parts as required by MARELLI (“Service Parts”), for at least 15 (fifteen) years from the date of last manufacturing date for mass production by the manufacture of each model of vehicle for which the Products were supplied. Supply prices shall be agreed to by taking into account the last price paid for the Products supplied for mass production for first equipment, forecasted volumes and supply lots requested by MARELLI. The Service Parts shall be supplied at full production assembly level and/or at sub-component level, as required by MARELLI. The Service Parts shall meet all Specifications provided by MARELLI. The Price for the Service Parts will be the same as under Purchase Orders for corresponding production Products while Products are in production, except to the extent Supplier can quantify additional items not covered or specified. Once Products are past model, Service Parts pricing will be established based on good faith negotiation and mutual agreement.
Service Parts. A Seller that is supplying Goods to Senior under a Blanket Purchase Order that possesses the tooling to make a current production part is responsible for supplying to Senior service parts for that item for seven (7) years at the production quantity price with no set up charges or surcharges levied because of smaller than production quantities.
Service Parts. A. Seller shall sell to Buyer all Goods necessary for Buyer to fulfill Buyer’s and its customer’s service and replacement parts requirements for its current model year at the then-current production prices plus any actual net cost differential for required unique packaging.
