ATS. If the termination for cause occurs after a Change in Control, the Company shall have not right to suspend or withhold payments to Executive under any provision of this Agreement until or unless a final judgment is entered upholding the Company's determination that the termination was for cause, in which event Executive will be liable to the Company for all amounts paid, plus interest at the rate allowed for judgments under Article 5069- 1.05 V.A.T.
ATS. Assessment Tax System; the legacy Property Tax System the Auditor- Controller, Treasurer-Tax Collector, and Clerk of the Board Departments are currently using for property tax administration.
ATS. The standard type time switch for pole or base mounting is to be mounted in lamppost, or on a pole, or on temporary equipment, or in a box and connected to service wiring, and load wiring. Fused cutout, in-line fuse holder with fuse, if required, is to be furnished and installed as shown on DWG D-2436A, as part of item. Where the Utility Company furnishes multiple service from its uncontrolled overhead electrical conductors for a lighting unit on a wood pole line, or a standard wood pole, the Contractor shall install the time switch or plug in type control receptacle in an approved manner. If the service is available when the control is installed, the Contractor shall make the service connections to the control. If the service is not available at that time, then the Utility Company shall make the service connections to the control. Where an ATS is to be removed, the Contractor shall disconnect and carefully remove the unit, mark it for identification and return it to City stock, unless otherwise directed by the Director.
ATS. Except as otherwise provided herein, in connection with the Airframe Services provided by ATS hereunder, ATS shall comply with all provisions of the FARs applicable thereto, including, but not limited to, Part 145, and shall maintain all required records and documents pursuant thereto. Such records and documents shall be available for inspection at all times during ATS’ normal business hours. In no event shall ATS be deemed to be an airline for any purpose whatsoever.
ATS. ATS warrants that the System shall perform in all material respects in accordance with the then-current documentation provided by ATS. ATS’s sole responsibility, and your sole remedy, under this warranty concerning any material defects in the System shall be ATS’ use of commercially reasonable efforts to correct the defect within a reasonable period. ATS shall have no responsibility for, and this warranty shall be voided in the event of: (i) errors or defects caused by your or PFI’s neglect, misuse, or damage to the System;
ATS. ATS agrees to defend or settle (at ATS’ expense and in ATS’ sole discretion) any claim, suit or proceeding brought by a third party against you to the extent that it is based on a claim that the System infringes any copyright, patent, registered trademark, or other intellectual property right or constitutes a misappropriation of a trade secret. Such indemnity, however, is specifically exclusive of any such claims which arise or result from (i) your misuse of the System; (ii) alteration of the System by you; (iii) your use of the System in combination with apparatus, hardware, software or services not provided, authorized or furnished by ATS (including any use or combination of the System via the API); and (iv) your use of the System in a manner that violates applicable law or regulation of any governmental authority or self-regulatory agency or authority, this Agreement, the Operating Procedures or in a manner for which the System was neither designed or contemplated. You shall promptly notify ATS in writing of any claim, suit or proceeding that ATS may have obligations concerning under this Section 9.2. You shall cooperate with ATS at ATS’ expense about the defense of any suit or threatened suit. ATS shall have full control of any such claim, proceeding or suit and the authority to settle or otherwise dispose of any such suit or threatened suit, and to appeal any adverse judgment which may be entered. ATS shall not be responsible for any compromise or settlement made without its consent. Upon written notice of a claim that the System is infringing a third party’s intellectual property rights, ATS may, but is not obligated to (i) modify or replace the System to make it non-infringing; (ii) procure any rights from any third party necessary to offer the System; or (iii) terminate providing the System, in each case in satisfaction of its obligations under this Section 9.2. The foregoing states ATS’ complete obligation and your sole and exclusive remedy for infringement claims arising under or related to this Agreement.

ATS. E. and the Union shall take all reasonable steps to maintain a working environment which is free from sexual and/or racial harassment.
ATS. E. agrees to grant a leave of absence without loss of pay to employees for up to eight (8) hours in total for the purpose of writing a written examination to become a Canadian Citizen and attending at the ceremony for becoming a Canadian citizen. Such time off shall be paid after verification is received by I.A.T.S.E. that the employee did write the examination and did attend said ceremony.
ATS. ATS (i) is a corporation duly incorporated, validly existing and in good standing under the laws of the Commonwealth of Virginia, (ii) has full power and authority to execute, deliver and perform this Agreement, (iii) has all requisite corporate power and authority to own or lease and to operate its properties and carry out the businesses in which it is engaged, and (iv) is duly qualified or licensed to do business as a foreign corporation in good standing in every jurisdiction where its ownership of property, or the conduct of its business, requires such qualification, other than jurisdictions in which the failure to so qualify, individually or in the aggregate, would not have a material adverse effect on ATS. Schedule 3.1(b) of the Disclosure Schedules lists each of the jurisdictions in which ATS is qualified or licensed to do business as a foreign corporation. ATS is in good standing in each jurisdiction listed on Schedule 3.1(b) of the Disclosure Schedules.
