Your Administrator. For many Services, your Administrator can establish separate Access Credentials for you and each Authorized User, perform various administrative tasks, and/or set limits on each Authorized User’s authority to access information and conduct transactions. You assume sole responsibility for the actions of your Administrator (or other person using your Administrator’s Access Credentials), the Access Credentials and authority he or she gives others to act on your behalf, and the actions of Authorized Users (or other person using an Authorized User’s Access Credentials). You or your Administrator will need to designate which Accounts will be utilized for Services. If your Administrator designates an Account with respect to which we have agreed, by separate agreement, to honor a requirement for more than one signature for the withdrawal or transfer of funds, you agree that we may act upon any Service instruction that is accompanied by the Access Credential designated by you or your Administrator for that Account and the Service in question. As long as an instruction is accompanied by the designated Access Credential, the transaction will be deemed authorized by you. NOTE: Subject only to Dual Control settings, this means that a Service may act upon the instruction of only ONE person, even though a separate agreement between you and us requires two or more signatures on checks or other withdrawals or transfers of funds.

Your Administrator. The Site has been designed to minimize the possibility of fraud and error by allowing you to designate User IDs/Login IDs and Passwords and have them under the control of the individual or individuals that you have authorized and designated as Company System Administrator (CSA). The CSA must be a signer on the account. The California Bank & Trust Direct Business and Direct Business Plus Internet Banking system has been designed so that it may be operated only upon entry of valid codes. California Bank & Trust will therefore consider any access to the California Bank & Trust Direct Business and Direct Business Plus Internet Banking system through use of valid User IDs/Login IDs and Passwords to be duly authorized, and California Bank & Trust will carry out any instruction given regardless of the identity of the individual who is actually operating the system. You authorize California Bank & Trust to treat any instruction made on California Bank & Trust Direct Business and Direct Business Plus Internet Banking with valid User IDs/Login IDs and Passwords as if the instructions had been made in writing and signed by the appropriate authorized individual or individuals. California Bank & Trust records regarding access by User IDs/Login IDs and Passwords will be conclusive regarding any access to, or action taken through California Bank & Trust Direct Business and Direct Business Plus Internet Banking. You accept responsibility for unauthorized access to the system by your employees, your associates or by third parties. You agree to inform California Bank & Trust promptly of any discrepancies that you discover. You confirm that you have conducted such investigation of the California Bank & Trust Direct Business and Direct Business Plus Internet Banking security system as you deem necessary or advisable, and that you have instituted the proper internal controls for access to California Bank & Trust Direct Business and Direct Business Plus Internet Banking through your computers and terminals. You acknowledge and confirm that California Bank & Trust’s security system and controls are commercially reasonable for your business and appropriate for your accounts. 5. IDs and Passwords. You will need a Company ID, a User ID/Login ID and a Password to access the Service. You agree to keep this information secure and confidential. Your Administrator. You must appoint an individual (an “Administrator”) for certain Services with the authority to determine who will be authorized to use the Services on your behalf. Your Administrator can establish separate Passwords for you and each user, as well as limits on each user’s authority to access information and conduct transactions. You are strongly encouraged to use these controls to help reduce losses or damages that may arise out of improper or unauthorized use of a Services by designated users and others. You assume sole responsibility for the actions of your Administrator, the authority he or she gives others to act on your behalf, and the actions of the persons designated by the Administrator to use the Services. We strongly recommend that you impose a dual control environment in connection with the transmission of check issuance data and payment instructions. If you elect not to do so, you agree to be subject to a higher standard of care with respect to your accounts, transactions and statements. You or your Administrator will need to designate which accounts will be utilized for Service payments and transfers. If your Administrator designates an account that requires more than one signature for the withdrawal or transfer of funds, you agree that we may act upon any Service instruction that is accompanied by the Password designated by you or your Administrator for that account and the Service in question. Note: This may mean that we will act upon the instruction of only ONE person (e.g., to wire funds), even though the signature card for the account in question requires two or more signatures on checks. As long as an instruction is accompanied by the designated Password, the transaction will be deemed authorized by you.‌ It is your responsibility to understand the capabilities built into each Service to prevent unauthorized transactions, and to decide which accounts and Services to link to each Password. You should keep in mind the importance of separation of duties as a means for protecting yourself against losses or damages. You have reviewed the relevant security procedures and have determined (based on the type, frequency and amount of transactions you will have with us) that they are a commercially reasonable means of protection against unauthorized transactions and potential losses.
