Employment of Administrator. The Company hereby employs the Administrator to act as administrator of the Company, and to furnish, or arrange for others to furnish, the administrative services, personnel and facilities described below, subject to review by and the overall control of the Board of Directors of the Company (the “Board”), for the period and on the terms and conditions set forth in this Agreement. The Administrator hereby accepts such employment and agrees during such period to render, or arrange for the rendering of, such services and to assume the obligations herein set forth subject to the reimbursement of costs and expenses provided for below. The Administrator and such others shall for all purposes herein be deemed to be independent contractors and shall, unless otherwise expressly provided or authorized herein, have no authority to act for or represent the Company in any way or otherwise be deemed agents of the Company.
Employment of Administrator. County Superintendent Darrin C. Jenkins recommended Jim Gill as Assistant High School Principal in the Wheelersburg Local School District.On the recommendation of the Local Supt., John Cowgill moved to employ Jim Gill as Assistant High School Principal on a one (1) year contract, school year 2002-2003 with salary based on Step 5 of the Board adopted administrators salary schedule. Employment of Administrator. County Superintendent Lowell Howard nominated Chris Porter as High School Principal in the Wheelersburg Local School District commencing August 1, 2014 and extending through July 31, 2017.On the recommendation of the Local Supt., Ben Gill moved that the Superintendent’s nomination be accepted and that Chris Porter be employed as High School Principal for three (3) years, effective school years 2014-2015, 2015-2016 and 2016-2017, commencing August 1, 2014 and extending through July 31, 2017, with salary based on step one (1) of the Administrator’s Salary Schedule. Jonathan Eaton seconded the motion.Roll call: Jonathan Eaton-yes; Ben Gill-yes; Scott Jolly-absent; Donna Cunningham-yes; Matthew Miller- absent. The Vice-President declared the motion carried.
Employment of Administrator. The New Mountain Funds hereby jointly and severally employ the Administrator to act as administrator of each of the New Mountain Funds, and to furnish, or arrange for others to furnish, the administrative services, personnel and facilities described below, subject to review by and the overall control of the Board of Directors of New Mountain Finance, with respect to services provided to New Mountain Finance (the “New Mountain Capital Services”), and the Board of Directors of the Operating Company, with respect to services provided to the Operating Company (the “Operating Company Services” and, together with the Operating Company Services, the “Services”), in each case for the period and on the terms and conditions set forth in this Agreement. The Administrator hereby accepts such employment and agrees during such period to render, or arrange for the rendering of, such Services to the New Mountain Funds and to assume the obligations herein set forth subject to the reimbursement of costs and expenses provided for below. The Administrator and such others shall for all purposes herein be deemed to be independent contractors and shall, unless otherwise expressly provided or authorized herein, have no authority to act for or represent the New Mountain Funds in any way or otherwise be deemed agents of the New Mountain Funds; provided, however, that the Administrator may enter into agreements as an agent of the Operating Company in furtherance of its responsibilities under this Agreement.
Employment of Administrator. Each of the Funds hereby employs and appoints the Administrator to act as its administrator on the terms set forth in this Agreement, and the Administrator accepts such appointment.

  • Duties of Administrator Subject to the supervision and direction of the Board of Directors of the Fund, IBT, as Administrator, will assist in conducting various aspects of the Fund's administrative operations and undertakes to perform the services described in Appendix 1 hereto. IBT may, from time to time, perform additional duties and functions which shall be set forth in an amendment to such Appendix 1 executed by both parties. At such time, the fee schedule included in Appendix 2 hereto shall be appropriately amended. In performing all services under this Agreement, IBT shall act in conformity with the Fund's Articles and By-Laws and the 1940 Act, as the same may be amended from time to time, and the investment objectives, investment policies and other practices and policies set forth in the Fund's Registration Statement, as the same may be amended from time to time. Notwithstanding any item discussed herein, IBT has no discretion over the Fund's assets or choice of investments and cannot be held liable for any problem relating to such investments.
