Engagement of Administrator. The Issuer and the Owner Trustee engage the Administrator to perform the obligations of the Issuer and the Owner Trustee under the Transaction Documents as described in this Agreement, and the Administrator accepts the engagement.
Engagement of Administrator. The Company hereby engages and retains the Administrator to furnish, or arrange for others to furnish, the administrative services, personnel and facilities described below for the period and on the terms and conditions set forth in this Agreement. Engagement of Administrator. If (i) this Agreement is terminated pursuant to Section 10.4(a) or (c), and (ii) the Group does not acquire the Purchase Assets as provided in Article X, then if the Group establishes, operates or provides professional services at any office, practice, diagnostic imaging center, hospital or other health care facility providing services substantially similar to those provided by the Practice pursuant to this Agreement anywhere within 15 miles of any location of any Practice Site(s), the Group or any successor thereto shall engage Administrator as the sole and exclusive manager and administrator of the nonprofessional functions and services of such other office, practice, hospital or health care facility on the same terms and conditions as contained herein.

Engagement of Administrator. United hereby engages Administrator, on an independent contractor basis, to perform the Services (as defined below) in support of the Benefit Plans, and Administrator hereby accepts such engagement, all in accordance with the terms and subject to the conditions of this Agreement.
Engagement of Administrator. Commencing on the Effective Date, the Company hereby appoints, retains and authorizes the Administrator, and the Administrator hereby accepts such appointment and agrees, to perform, or arrange to be performed, any and all day to day administrative, operating and professional services reasonably requested by and at the direction of the Company or as might be reasonably required for the effective administration and operation of the Business (collectively, the “Services”) on the terms and conditions in this Agreement. The Services shall exclude, however, the following other than providing information and data related thereto: matters concerning regulatory or legal compliance (e.g., SEC and FINRA), audits, investor relations, financing, acquisition or disposition of assets with a value of $50,000 or more, or the hiring of outside advisors, consultants, independent contractors, attorneys or experts.

Engagement of Administrator. Engagement of Administrator. Administrator shall provide administrative services to Fund subject to the supervision of the board of directors of Fund, for the period and on the terms set forth in this Agreement. Administrator shall be deemed for all purposes to be an independent contractor and not an agent of Fund, and unless otherwise expressly provided or authorized, shall have no authority to act for or represent Fund in any way. The services to be provided to Fund by Administrator shall include all management and administrative services required in connection with the operation of Fund not required to be performed by Duff & Xxxxxx Investment Management Co. (“Manager”) pursuant to the Investment Advisory Agreement (“Advisory Agreement”) of even date herewith between Fund and Manager, including but not limited to: preparation and filing of reports and returns required by governmental bodies and to shareholders, preparation of proxy material and prospectuses, making arrangements for shareholder meetings, and shareholder correspondence; and supervision of services performed by others (the cost of which will be paid by the Fund pursuant to paragraph 3), involving the computation of net asset value, portfolio accounting, preparation of financial statements and preparation and filing of shareholder income tax information.
