You are an “Eligible Employee” if: ● you are a full-time employee of an Employer who is an “executive officer” (as defined in Rule 3b-7 of the Exchange Act) of the Company, ● you experience a Qualifying Termination, ● you are notified in writing by the Plan Administrator that you are eligible under the Plan, ● you sign and do not revoke a Separation and Release Agreement in the form provided by the Company in its sole discretion (“Release”), and ● you continue to work until your employment terminates.
