Access Credentials. Customer will safeguard, and ensure that all Users safeguard, the Access Credentials. Customer will be responsible for all acts and omissions of Users. Access Credentials. Except as otherwise provided herein, Customer will not provide any third party with access credentials to the Subscription Services and will safeguard and compel all users to safeguard the access credentials. Customer will be responsible for all acts and omissions of its users. Customer will notify UKG promptly if it learns of any unauthorized use of any access credentials or any other known or suspected breach of security. If Customer allows use of the Subscription Services by any of its Affiliates without requiring such Affiliate to execute a separate Order to establish its own tenant environment, then Customer will be fully responsible and liable for all use and misuse of the Subscription Services by such Affiliate, and will fully cooperate with UKG in enforcing all of its rights to, interests in, and protection of the Services, including in seeking equitable remedies against any Affiliate that breaches this Agreement.
Access Credentials. Except as otherwise specified in section 3 (Product Family Specific Terms) or section 4 (Product Specific Terms), this section specifies the terms applicable to Access Credentials provided to you to access the Hosted Services. You are responsible for safeguarding the Access Credentials. You agree to: (a) keep your Access Credentials secure and confidential and not allow any of your Authorized Users to provide their Access Credentials to anyone else; (b) not permit others to use your Account; and (c) refrain from using other users’ accounts. We rely on the Access Credentials as a method to differentiate one user from another. If someone else is using your Access Credentials, we will assume they are you and we’ll give them access. (Don’t forget, “you” includes your Authorized Users for whom you are responsible). You will be responsible for all activity carried out under your Account using Access Credentials made available to you and anything that happens through your Account, whether or not you have authorized such activities or actions, until you close your Account or prove that your Account security was compromised due to no fault of your own. If you know or suspect that someone has gained access to Access Credentials made available to you, you will immediately let us know. We will turn off the compromised Access Credentials and issue new Access Credentials. We reserve the right to take any action we deem necessary or reasonable to ensure the security of the Hosted Services and your Account, including terminating your access or the access of any of your Authorized Users, changing passwords, or requesting additional information to authorize activities related to your Account. In no event and under no circumstances will we be held liable to you for any liabilities or damages resulting from or arising out of (i) any action or inaction on our part under this provision, (ii) any compromise of the confidentiality of your Account, or (iii) any unauthorized access to or use of your Account.
Access Credentials. A. When you register to use the Program you will be asked to provide information by which you can be identified, which may include, but may not be limited to, a user name, password, and/ or identifiers derived from your biometric information, which, along with information provided to you by RBC CM, you will use for the purpose of accessing the Program (collectively, your “Access Credentials”). You should maintain your Access Credentials as highly confidential. B. Your Access Credentials are for your personal use only and you are responsible for their confidentiality and all acts, omissions, and statements made while your Access Credentials are being used to access the Program by you or someone to who you provided your Access Credentials. RBC CM is not responsible for any breach of security caused by your failure to maintain the confidentiality of your Access Credentials.
Access Credentials. The Software made available to Customer for use on a per Designated Location basis as expressly specified in the applicable Statement of Work. Unless otherwise specified, (a) a quantity in a Statement of Work refers to Designated Locations, and the Software may not be accessed by more than the specified number of Designated Locations, (b) each Designated Location will be assigned a unique identifier that may not be shared with or reassigned to any other Designated Location; and (c) each User will be issued a User ID and password for purposes of authentication and authorization (“Access Credentials”). If Customer seeks to add Designated Locations or is determined by Nextep to have exceeded the number of permitted Designated Locations in the applicable Statement of Work, Customer will execute a Statement of Work to add such additional Designated Locations promptly upon Nextep’s request. In addition, Customer will reimburse Nextep for any period of unlicensed use of the Software by any Designated Locations prior to such Designated Locations being licensed under the terms and conditions of this Agreement. Without limiting any other rights or remedies, if Nextep discovers unlicensed use of the Software by Customer, Nextep may terminate this Agreement and/or the applicable Statement of Work(s) immediately upon notice to Customer. Any information Customer or Customer’s Users provide Nextep in connection with access to or Use of the Services must be accurate, current and complete. Customer is solely responsible for maintaining the confidentiality and security of Customer’s Access Credentials and the Access Credentials of Customer’s Users, and for restricting access to the Designated Locations so that others may not access protected portions of the Software. Customer may not, and may not permit its employees to, share Access Credentials with any third party, including other employees of Customer’s organization. Customer is responsible for any use of or access to the Software and any activities conducted therein via Customer’s Access Credentials and the Access Credentials of each of Customer’s Users. If Customer becomes aware of any unauthorized use of or compromise of its Access Credentials or the Access Credentials of Customer’s Users, Customer must notify Nextep immediately. Access Credentials. Researcher must obtain from Colliga Apps appropriate access credentials for each authorized user that will access Colliga Apps Services. Researcher acknowledges and agrees that Researcher is responsible for maintaining the confidentiality of access credentials associated with Researcher’s access to Colliga Apps Services. Researcher shall be solely responsible to Colliga Apps for all activities that occur under Researcher’s account or related access credentials. Researcher will not: (i) transmit or share any access credentials to persons other than authorized users (ii) permit the access credentials to be cached in proxy servers and accessed by individuals who are not authorized users, or (iii) permit access to the Services through a single access credential being made available to multiple users on a network.
Access Credentials. Client will ensure that all login and other credentials that are provided to Client for accessing any Client Accounts or Subscription Services (“Client Access Credentials”) are kept confidential. Client will be solely responsible all use of all Client Accounts and Subscription Services through any Client Access Credentials, whether or not Client has knowledge of, or consented to, such use. Customer and it's Personnel shall be obligated to keep all Access Credentials secret and confidential. Customer remains responsible and liable for any use of the Frends Platform under its Access Credentials regardless of the identity of the user. Customer must notify Frends immediately if there is a reason to suspect or believe that the Access Credentials in question have been accessed by an unauthorized third party.
Access Credentials. By enrolling in the Service and initiating transfers from your Account using your Access Credentials, you acknowledge and agree that it is commercially reasonable for us to verify the authenticity of a funds transfer order by receipt of your Access Credentials. You agree to be bound by instructions verified with your Access Credentials, whether authorized or unauthorized, unless you have given us prior notice of possible unauthorized use of your Access Credentials and we had a reasonable opportunity to act on such notice.
