EXHIBIT “B” TO PREMISES USE AGREEMENT RELEASE, WAIVER OF LIABILITY AND ASSUMPTION OF RISK FORM (ADULTS) [INCLUDE IF APPLICABLE] [SEE ATTACHED] RELEASE, WAIVER OF LIABILITY AND ASSUMPTION OF RISK (ADULTS) I acknowledge that I have been provided with the opportunity to participate in on The Florida International University Board of Trustees’ (“FIU”) Campus, in Miami, Florida, from to (the “USER’s Program”). I understand and agree that FIU’s sole role in this matter is to allow (the “USER”) to use FIU’s premises, specifically described as (the “Premises”), for the USER’s Program as further described and outlined in the accompanying Premises Use Agreement between FIU and USER. I further acknowledge and understand that the USER is an independent contractor offering its services without any participation by FIU. It is expressly understood that by making the Premises available, FIU, FLORIDA INTERNATIONAL UNIVERSITY, STATE OF FLORIDA, THE FLORIDA BOARD OF GOVERNERS, and their respective officers, directors, employees, representatives, trustees, agents, students and volunteers (collectively the “Releasees”) are not entering into any type of joint venture agreement with the USER, nor are they or any of them acting as an agent of or for the USER. I give FIU authority to (i) record my likeness and voice on a video, audio, photographic, digital, electronic or any other medium and to use my name in connection with these recordings; and (ii) use, reproduce, exhibit or distribute these recordings in whole or in part in perpetuity in any and all media throughout the universe (including, but not limited to, print publications, video tapes, non-theatrical, home video, CD- ROM, internet and any other electronic or other medium presently in existence or invented in the future) for any purpose that FIU, and those acting pursuant to its authority, deem appropriate, including promotional, recruiting, advertising and any commercial or non-commercial use. I understand and agree that all such recordings, in whatever medium, shall remain the property of FIU. I, for myself, my heirs, executors, administrators, and assigns hereby release, waive, relinquish, and forever discharge and hold harmless Releasees from any and all claims, demands, damages, actions and causes of action, including, but not limited to, claims, demands...

Technical Agreements. The parties have entered into a Technical Agreement with respect to the First Product. The parties shall enter into a Technical Agreement with respect to each New Product promptly following agreement upon the applicable Requirement Definitions, and no later than ninety (90) days prior to the applicable Supply Start Date for such New Product. MiniFAB and TearLab shall determine in good faith those subcontractors (if any) performing any manufacturing activities with respect to Products with whom TearLab shall enter into separate written technical or quality agreements. Technical Agreement will address matters such as shelf life, storage, release requirements, facility registrations, recordkeeping, retention and review of documentation, annual product review, shipping products only upon release, and the like, which are not addressed in this Agreement.
Technical Agreements. CollaGenex shall deliver to Alliance a notice, assignment or similar document conveying to Alliance CollaGenex rights under the Technical Agreements, to the extent such rights relate to the Dental Business.
Technical Agreements. The Technical Agreements are all the arrangements relating to manufacture, release, packaging, storage and freight the Product required under the regulations governing the import and distribution of human pharmaceutical products in the territories covered by the Existing Marketing Authorisations. CollaGenex knows of no circumstance or threatened cancellation or dispute as a result of which any such arrangement might cease to be continued for the benefit of Alliance. To the best knowledge of CollaGenex, there is no bar under any such agreement to the novation, assignment or sublease of CollaGenex’s rights or privileges under each such agreement to Alliance or to the consummation of the other transactions contemplated under this Agreement.

For the provision of the Long Distance Services, ATSI and TELMEX shall agree to follow the procedures and Technical Agreements established by mutual agreement as established in this Agreement. TELMEX may introduce modifications, variations or technical changes to the Technical Agreements and shall be documented by both Parties.
