Registration and Tuition. The student will pay full tuition and fees at the school in which he or she is registered each semester. It is contemplated that the student will pay tuition and fees to Campbell in years one, two, and four, and to NCSU in year three. After a student has successfully completed all first-year JD requirements, the student may register for coursework in both schools in any particular semester. The student must take a sufficient number of credits at one of the schools to be deemed a "full time" student at that school for that semester (Campbell requires ten credits for such status; NCSU requires nine credits for such status). The student will pay full tuition and fees at the school at which he or she is deemed a "full time" student for that semester. The student's tuition and fees at the other school (where he or she is registered for too few credits to be a "full time" student) will be prorated for that semester. In no semester may a student register for coursework at both schools in excess of 17 aggregate credits. The registrars of both institutions will coordinate to ensure students are properly classified (e.g., full time/part time; good standing) for purposes of financial aid, demonstrating continuous enrollment, and the like. Rules and Regulations; Student Services Dual degree students shall comply with all rules, regulations, and requirements of both schools, and they shall have access to all the services that are available to students in the host school (including but not limited to library, health, and career placement services). Registration and Tuition. Global Minds reserves the right to cancel any class due to insufficient registration. Students with anaphylactic allergies and other medical conditions may be denied registration at the discretion of the school if the school feels they are unable to fulfill medical duties. Children must be at least two years old to enroll at Global Minds. For children three years and older who are not fully potty-trained, parents must schedule a meeting with the director to establish a plan of action for potty-training. Global Minds reserves the right to deny enrollment if potty-training is not feasible. Tuition is not prorated and will not be refunded for vacations, school holidays, absences due to sickness or other circumstances. A registration fee of $35.00 is due with each application, regardless of how many weeks a child will be registered for summer school (registration fee does not apply for current Global Minds students). LATE PICK UP POLICY/EARLY DROP OFF Students must be picked up promptly at their programs dismissal time. Students picked up after dismissal will incur a $10.00 charge for the first 15 minutes for each instance. An additional $1.00 per minute will be charged after 15 minutes until the time of pick up. Global Minds does not believe it is fair to the staff or the other students to be picked up late. Half day pick up is late after 12:45 p.m. sharp. DISMISSAL A child may be dismissed from Global Minds for the following behavior: • A child is aggressive toward other children or the staff and causes harm to others or self. • An inordinate amount of the teacher’s time is needed to attend to a particular child’s special situation, to the extent that it is depriving the other children in the classroom of the level of care and concern to which they are entitled. In such a situation, the child may have to leave the school temporarily for safety’s sake. Repeated uncontrollable behavior can lead to discontinuation of preschool services. If feasible, a two-week notice may be given before termination of services in order to allow parents to find alternative childcare. The Company shall, by 9:30 a.m. Eastern Time on the Trading Day after the effective date of such Registration Statement, file a final Prospectus with the Commission as required by Rule 424. Failure to so notify the Holders within one (1) Trading Day of such notification of effectiveness or failure to file a final Prospectus as foresaid shall be deemed an Event under Section 2(g).

If Customer provides Registration Data that is false, inaccurate, not current, incomplete, fraudulent, or otherwise unlawful, Pilot has the right, in its sole discretion, to suspend or terminate the Voice Services and refuse any and all current or future use of all Voice Services by Customer, its business(es), affiliates and all users of its Account. Upon provision of all Registration Data and acceptance of Customer’s Service Order, Pilot may provide Customer’s designated Account Administrator and other Pilot Voice users with, as applicable, administrator or user web portal logins and other Account information. Holder agrees to provide in a timely manner information regarding the proposed distribution by Holder of the Registrable Securities and such other information reasonably requested by the Company in connection with the preparation of and for inclusion in the Registration Statement. The Company agrees (subject to Section 3.2 hereof) to use its best efforts to keep the Registration Statement effective (including the preparation and filing of any amendments and supplements necessary for that purpose) until the earlier of (i) the date on which Holder consummates the sale of all of the Registrable Securities registered under the Registration Statement, or (ii) the date on which all of the Registrable Securities are eligible for sale pursuant to Rule 144(k) (or any successor provision) or in a single transaction pursuant to Rule 144(e) (or any successor provision) under the Securities Act of 1933, as amended (the "Act"), provided, that except with respect to any Shelf Registration, such period need to extend beyond nine months after the effective date of the Registration Statement; and provided further, that with respect to any Shelf Registration, such period need not extend beyond the time period provided in this Section 3.1(a), and which periods, in any event, shall terminate when all the Exchange Shares covered by such Registration Statement have been sold (but not before the expiration of the time period provided in Section 4(3) of the Act and Rule 174 thereunder, if applicable). The Company agrees to provide to Holder a reasonable number of copies of the final Prospectus and any amendments or supplements thereto. Notwithstanding the foregoing, the Company may at any time, in its sole discretion and prior to receiving any Registration Notice from Holder, include all of Holder's Exchange Shares or any portion thereof in any Shelf Registration Statement. In connection with any Registration Statement utilized by the Company to satisfy Holder Registration Rights pursuant to this Section 3, Holder agrees that it will respond within ten (10) Business Days to any request by the Company to provide or verify information regarding Holder or Holder's Registrable Securities as may be required to be included in such Registration Statement pursuant to the rules and regulations of the Commission.
