Upon the written request of the Investor given within five Business Days after receipt of the notice of the proposed Distribution from the Company, the Company shall use commercially reasonable efforts to, in conjunction with the proposed Distribution, cause to be qualified in such offering all or any whole number of Shares held by the Investor in accordance with the procedures set forth in Schedule "A" hereto (a "Piggyback Registration").
The Registration Expenses of all Registrations shall be borne by the Company.
