Customer Responsibilities. Notwithstanding the above, Customer agrees that except as provided by this DPA, Customer is responsible for its secure use of the Services, including securing its account authentication credentials, protecting the security of Customer Data when in transit to and from the Services and taking any appropriate steps to securely encrypt or backup any Customer Data uploaded to the Services.
Customer Responsibilities. Customer will and procure that its end-customers (if applicable) will (a) be responsible for its compliance with this Agreement, Documentation and purchase orders, if any, (b) be responsible for the accuracy, quality and legality of Customer data, the means by which Customer acquired Customer data, Customer’s use of Customer data with the Managed Services, and the interoperation of any non-AudioCodes applications with which Customer uses Managed Services, (c) use commercially reasonable efforts to prevent unauthorized access to or use of Managed Services, and notify AudioCodes promptly of any such unauthorized access or use, (d) use the Managed Services only in accordance with this Agreement, Documentation, purchase orders and all applicable local, state, national, foreign and international laws and regulations. Any use of the Managed Services in breach of the foregoing by Customer that in AudioCodes’ judgment threatens the security, integrity or availability of AudioCodes’s Managed Services, may result in AudioCodes’ immediate suspension of the Managed Services, however AudioCodes will use commercially reasonable efforts under the circumstances to provide Customer with notice and an opportunity to remedy such violation or threat prior to any such suspension.
Customer Responsibilities. Customer will (a) be responsible for Authorized Userscompliance with this Agreement, (b) be responsible for the accuracy, quality and legality of Customer Data and the means by which Customer acquired the Customer Data, (c) use commercially reasonable efforts to prevent unauthorized access to or use of the Service, and notify Provider promptly of any such unauthorized access or use, (d) use the Service only in accordance with the Documentation and applicable laws and government regulations, and (e) obtain and maintain all equipment and components necessary for Customer’s use of the Service.

Customer Responsibilities. (a) The Customer agrees to (i) promptly notify the Bank of any change that the Customer wishes to make to Exhibit B, (ii) promptly notify the Bank if any information contained in the Customer Information Sheet becomes inaccurate or untrue and (iii) indemnify the Bank for any losses resulting from the Customer's failure to adhere to the provisions of Subsection (a) of this Section 11.

Customer specifically acknowledges that its use of the Service will not violate the rights of any Data Subject that has opted-out from sales or other disclosures of Personal Data, to the extent applicable under the CCPA.

Unless the hosted option is selected, Customer shall be responsible for operating the Product and shall: - ensure that the hardware, base program, network and operating system configuration are suitable, - develop the operating measures, control procedures and security measures required for data backup and replacement in the event of interruption in Product operation,
Customer Responsibilities. Customer is responsible and liable for all uses of the Software, Hosted Services and Documentation, as applicable, resulting from access provided by Customer, directly or indirectly, whether such access or use is permitted by or in violation of the Schedule Agreement. Without limiting the generality of the foregoing, Customer is responsible for all acts and omissions of Authorized Users, and any act or omission by an Authorized User that would constitute a breach of the Schedule Agreement if taken by Customer will be deemed a breach of the Schedule Agreement by Customer.
