Governing Board Composition. Governing Authority Membership, Structure and Roles The governing board will be comprised of at least five (5) members, as follows: Xxxx Xxxxx, President Xx. Xxxxx graduated from East High School, now Sciotoville Community School, then attended Shawnee State University and the Ohio State University. He has been employed as a retail consultant, a manager for the Ohio State Parks Lodges and a representative for the Coca-Cola Bottling Company. He is currently self-employed as a security consultant. Xxx XxXxxx, Vice President Xx. XxXxxx graduated from East High School, now Sciotoville Community School, then attended Indian River Community College in Florida and Shawnee State University. He was employed by the City of Portsmouth before obtaining this current position as an air-quality specialist for the Ohio Environmental Protection Agency. Xxx Xxxxxxx, Member Xx. Xxxxxxx graduated from East High School, now Sciotoville Community School, in the class of 1963. His first employment was for five years at Westinghouse Electric in Columbus, Ohio. He then returned to the Portsmouth area to assume a position at the New Boston Coke Plant where he worked for 31 years, serving as a supervisor for the last eleven years before retirement. He has also been a Pure Fish Representative since 1985. Xxxx Xxxxxx, Member Xx. Xxxxxx graduated from East High School, now Sciotoville Community School, in the class of 1998. He attended Shawnee State University and Xxxxxxxx University. Then he attended Cincinnati College of Mortuary Science earning a Bachelor Science Degree. He has worked in the funeral home business since graduating from high school and has been a licensed funeral home director for five years. Xxxxxxx Xxxxxxx, Member Xx. Xxxxxxx graduated from East High School, now Sciotoville Community School, in the class of 1965. He attended Ohio University for one year after graduation before enlisting in the United State Army. He served 22 months in the Army before he was medically discharged as a result of a combat injury. He worked as a production manager of the Portsmouth Daily Times for 33 years and has operated his own printing business since 1984. He previously served eight years on the Portsmouth City School Board of Education. SEA does not use a management organization. Management of SEA is left to the Administration, Treasurer and Governing Board.

Governing Board Composition. The Center shall be governed and controlled by a Board of Trustees consisting of six (6) members (the “Center Board”). Each of the Boards of Trustees of the Affiliated School Districts shall select two (2) members to serve on the Center Board. The terms of the members of the Center B oard shall be concurrent with their terms on the Affiliated School Districts’ Boards of Trustees. Vacancies shall be filled by the Board of Trustees of the particular Affiliated School District in which the vacancy occurred. The Superintendents of the Affiliated School Districts shall serve as ex-officio non- voting members of the Center Board. The Superintendents shall be administrative members of the Center Board and shall jointly nominate staff and assume such responsibility for and perform such duties as may be prescribed by law or by regulations of the State Board of Education or as may be prescribed by the Center Board. The respective Boards of Trustees of the Affiliated School Districts shall select members of the Center Board, and the Center Board shall convene t o elect one member as Chair and one member as Vice-Chair. The term of the Chair and Vice-Chair shall be one year. The Center Board shall have such other officers and prescribed terms thereof as deemed necessary by the Center Board.

Per this Contract, the Governing Authority will be comprised of at least five (5) board members by June 30, 2022. The Governing Authority independently contracts with a licensed school treasurer to serve as its designated fiscal officer. As per Ohio law, the designated fiscal officer is a licensed professional engaged by contract with the Governing Authority. The designated fiscal officer will work closely with the board to provide all required fiscal services, including production and oversight of monthly financial statements, compliance with relevant Ohio and federal laws and fiscal reporting requirements, and updates regarding relevant changes to state and federal funding and financial requirements. From time to time the Governing Authority may establish committees, which may include but not be limited to governance, finance, and academics. The President may create additional committees as necessary. Board Member Criteria Each board member should strongly align with the mission, vision, and educational philosophy of IDEA Greater Cincinnati. As such, all board members should: • Believe that all children can and will succeed in school, college, and beyond, regardless of race, socioeconomic status, or zip code • Dedicate their efforts to advance the vision and mission of IDEA Greater Cincinnati • Contribute their experience and knowledge to the governance of IDEA Greater Cincinnati • If necessary, serve on one or more board committees and contribute the appropriate time and energy necessary to accomplish all stated organizational goals Membership on the Governing Authority will be established consistent with the School’s Code of Regulations and applicable laws. The aim is for the board to reflect the community served, with careful attention given to the ethnic, geographic, and gender makeup of the board, among other factors.
