COMPLIANCE WITH RULES, REGULATIONS AND LAWS. It is mutually agreed that all rules, regulations and laws pertaining hereto shall be deemed to be part of this contract, and anything contained herein that may be in whole or in part inconsistent therewith shall be deemed to be hereby amended and modified to comply with such legislation, rules, regulations and laws, for and during such time the same shall be in effect, but at no other time. If any provision contained herein is found now or during the life of this Contract to be null and voice, in whole or in part as a matter of law, then said clause or part hereof shall be deemed to be severed and deleted from this Contract leaving all other clauses or parts thereof in full force and effect. It is further agreed that there shall be no gap in the coverage or applicability of said remaining clauses or parts thereof. Developer agrees to comply with the Federal Commercial Drivers License Drug and Alcohol Testing Program requirements set forth in CFR 49 parts 40 and 382. In acceptance of this Agreement, Developer covenants and certifies that it will comply in all respects with all Federal, State, County or other Municipal Law which pertains hereto regarding work on municipal contracts, matters of employment, length of hours, workers’ compensation and human rights.
COMPLIANCE WITH RULES, REGULATIONS AND LAWS. In the use and occupancy of the Premises and in the conduct of all business, activities and transactions thereon, Tenant will comply with all applicable laws, ordinances, rules, regulations and orders of the City or any governmental subdivision, body or authority, including all federal, state and municipal laws and ordinances and all rules and regulations of the Federal Aviation Agency and the City of Watsonville rules and regulations concerning the operations of the Watsonville Municipal Airport and environs.
COMPLIANCE WITH RULES, REGULATIONS AND LAWS. The Parties agree that at all times the Parties shall undertake their obligations pursuant to this Agreement in compliance with all applicable federal, state and local Laws and ordinances. To the extent such Laws require a Party to operate during the Term in a manner materially inconsistent with, or in violation of, the terms of this Agreement, the requirement of any applicable Law shall take precedence over the terms of this Agreement and the Parties’ compliance with any applicable Laws shall not be a violation or breach of this Agreement, and the Parties shall comply with Section 2.5(b).
COMPLIANCE WITH RULES, REGULATIONS AND LAWS. ProMedCo and ADC shall comply with all federal and state laws and regulations in performance of their duties and obligations hereunder. Neither party, nor their employees or agents, shall take any action that would jeopardize the other party's participation, if applicable, in any federal or state health program including Medicare and Medicaid. ProMedCo and ADC shall take particular care to ensure that no employee or agent of either party takes any action intended to violate Section 1128B of the Social Security Act with respect to soliciting, receiving, offering or paying any remuneration (including any kickback, bribe, or rebate) directly or indirectly, overtly or covertly, in cash or in kind in return for referring an individual to a person for the furnishing or arranging for the furnishing of any item or service for which payment may be made in whole or in part under Title XVIII or XIX of the Social Security Act, or for purchasing, leasing, ordering, or arranging for or recommending purchasing, leasing, or ordering any good, facility, service, or item for which payment may be made in whole or in part under Title XVIII or XIX of the Social Security Act.
COMPLIANCE WITH RULES, REGULATIONS AND LAWS. In performing its duties under this Agreement, each party agrees to comply with all applicable Laws, including but not limited to any applicable data security requirements. FORTE bears no responsibility for any lack of compliance with these Rules and Laws by Merchant or its Agent and directs Merchant to seek the counsel of outside legal assistance should Merchant have questions or concerns regarding compliance with such. Xxxxxxxx agrees to cooperate and provide information requested by FORTE to facilitate FORTE’s compliance with any applicable Law or Rule. Additionally, Merchant shall reimburse FORTE for any fines or loss of funds imposed on FORTE for any violation of applicable Rules or Laws by Merchant.
COMPLIANCE WITH RULES, REGULATIONS AND LAWS. In the use and occupancy of the Premises and in the conduct of all business, activities and transactions thereon, Tenant will comply with all applicable laws, ordinances, rules, regulations, and orders of the County of Santa Xxxx, City or any governmental subdivision, body, or authority, including all federal, state, and municipal laws and ordinances.
COMPLIANCE WITH RULES, REGULATIONS AND LAWS. SUPPLIER shall comply with all laws relative to SUPPLIER'S operations hereunder and shall pay all permits, license fees or other sums qualifying SUPPLIER under the law to perform the Work and shall, upon request, furnish satisfactory evidence to COMPANY of such compliance. Permits for permanent structures, or permanent changes in existing facilities shall be obtained and paid for by COMPANY except that SUPPLIER, if so instructed, shall obtain the same. SUPPLIER covenants that SUPPLIER will promptly pay when due, all taxes of every kind due to any taxing authority on account of SUPPLIER'S performance of the Work including, without limitation, license, property, social security, income tax withholdings, and shall save and hold COMPANY harmless on account thereof. Should any governmental entity (including but not limited to entities enforcing the Occupational Safety and Health Act) seek to impose liability on the COMPANY arising out of the work performed under this Contract, SUPPLIER agrees to indemnify and hold the COMPANY harmless respecting any such liability including any fines, penalties and reasonable attorney's fees incurred by COMPANY. SUPPLIER agrees to advise its employees and the employees of its subcontractors and agents that: 1) it is the policy of COMPANY that the use, possession, sale, transfer or purchase of alcohol, drugs, or controlled substances on COMPANY property is prohibited as is the presence on COMPANY property of anyone under the influence of same; 2) entry onto COMPANY property constitutes consent to an inspection of the employee and his or her personal effects when entering, on, or leaving COMPANY property; 3) any employee who is found in violation of the policy or who refuses to permit an inspection may be removed and barred from COMPANY property, at the discretion of COMPANY.
COMPLIANCE WITH RULES, REGULATIONS AND LAWS. (A) In performing the Services hereunder, Greyhound shall at all times comply with any and all applicable municipal, county, state and federal rules, regulations and laws governing its operations as a motor passenger carrier.
COMPLIANCE WITH RULES, REGULATIONS AND LAWS. PROVIDER warrants that it does at the time of executing this Agreement, and shall at all times during the term of this Agreement, comply with and is subject to all applicable rules and regulations as implemented and as amended by ASES and CMS related to the Puerto Rico Medicaid Program, including without limitation Act No. 72, and related to FIRST MEDICAL’s, CMS’ and ASES’ rights to audit PROVIDER’s operations, books, records and other documentation related to PROVIDER‘s obligations under the Agreement, as well as the Medicaid Integrity Program (42 CFR Part 455), and with all other Commonwealth of Puerto Rico and federal laws, rules and regulations applicable to individuals and entities receiving federal funds, including without limitation Title VI of The Civil Rights Act of 1964, The Age Discrimination Act of 1975, The Americans With Disabilities Act and The Rehabilitation Act of 1973, Patient’s Bill of Rights Law , Act No. 194 of August 25, 2000)
COMPLIANCE WITH RULES, REGULATIONS AND LAWS. Licensee agrees to comply with all Rules and Regulations of the Marina as amended from time to time by Licensor in its sole discretion and all applicable laws, ordinances, health, safety, environmental and sanitary regulations of all regulatory bodies, including any federal, state or local agency. The current Rules and Regulations for the Marina are attached as Exhibit A and are incorporated into the terms of this Agreement.
