Budget Schedule means the budget schedule of expected expenses for the period from the Risk Assumption Date up to Completion, a copy of which is annexed as Annexure K. "Business" means the Net Expert business of OT which involves the use of OSI's Net Expert products and includes without limitation the Specified Contracts including computer software importation, creation, implementation, distribution and maintenance as well as technical consulting associated with the software and implementation of projects forming part thereof. "Business Day" means a day on which banks are open for general banking business in Sydney. "Business Handover Period" means the period of 90 days from Completion during which OT will provide reasonable assistance to OSI to conduct the Business and during which time OSI will provide the necessary funds to OT to conduct the Business in accordance with clause 6. "Business Handover Period Adjustment" means a financial adjustment between OSI and OT at the expiry of the Business Handover Period in respect of the assistance provided by OT to OSI in its conduct of the Business during the Business Handover Period. "Business Records" means, in respect of the Business only, all of OT's books of account, customer and supplier lists, financial and business data, employee data, technical data and all OT's other records, data, information and documents used in the creation or calculation of such information relating to the Business, the Assets and Employees whether recorded or stored in written form, electronically or otherwise. "Completion" means completion of the sale and purchase of the Business in accordance with the terms of this agreement. "Completion Amount" means 75% of the Purchase Price. "Completion Date" means the date on which the sale and purchase of the Business is completed, in accordance with clause 4.1. "Confidential Information" means information of every kind concerning or in any way relating to the customers, business transactions, business methods, records, forms, charges, financial affairs, trade secrets

Budget Schedule shall have the meaning set forth in Schedule 1.2(a)(i) contemplating the resources to be made available to the Business following the Closing during the Earnout Period. (ii) “Cause” shall mean (i) any act of personal dishonesty taken by the Key Employee in connection with his or her responsibilities as an employee of Parent or any of its Subsidiaries (including the Company) which is intended to result in substantial personal enrichment of the Key Employee, (ii) the Key Employee’s conviction of, or plea of nolo contendere to, a felony which materially xxxxx the business or reputation of Parent or any of its Subsidiaries (including the Company), (iii) the Key Employee’s gross misconduct, (iv) the Key Employee’s material breach of any confidentiality agreement or invention assignment agreement between the Key Employee and Parent or any of its Subsidiaries (including the Company), or (v) the Key Employee’s continued and willful failure to perform his or her employment duties (except by reason of disability) after the Key Employee has received a written demand of performance from Parent or any of its Subsidiaries (including the Company), as applicable, which specifically sets forth the factual basis for Parent’s or any of its Subsidiaries’ (including the Company) belief that the Key Employee has not substantially performed his or her duties and has failed to cure such non-performance to Parent’s or any of its Subsidiaries’ (including the Company) satisfaction within fifteen (15) business days after receiving such notice. (iii) “Earnout Amount” shall mean either the First Earnout Amount or the Second Earnout Amount, as applicable. (iv) “Earnout Cash Consideration” shall mean either the First Earnout Cash Consideration or Second Earnout Cash Consideration, as applicable. (v) “Earnout Business” shall have the meaning set forth in Schedule 1.2(a)(v). (vi) “Earnout Default Event” shall have the meaning set forth in Schedule 1.2(a)(vi). (vii) “Earnout Period” shall mean either the First Earnout Period or the Second Earnout Period, as applicable. (viii) “Earnout Stock Consideration” shall mean either the First Earnout Stock Consideration or Second Earnout Stock Consideration, as applicable.

Related to Budget Schedule

  • Shift Schedule means a written statement setting forth the days and hours upon which the employees are required to work.

  • Implementation Schedule means the Implementation Schedule in Section VII of the tendering documents.

  • Specification Schedule means the Schedule containing details of the Specification.

  • Project Schedule means a document that, with respect to each Phase of the Project, identifies, coordinates and integrates the anticipated design and construction schedules, the Contracting Authority’s and Owner's responsibilities, government authority reviews and other activities as are necessary for the timely completion of the Work.

  • Budget year means the financial year of the municipality for which an annual budget is to be approved in terms of section 16(1) of the MFMA;

  • Baseline Schedule means the initial time schedule prepared by Contractor for Owner’s information and acceptance that conveys Contractor’s and Subcontractors’ activities (including coordination and review activities required in the Contract Documents to be performed by A/E and ODR), durations, and sequence of work related to the entire Project to the extent required by the Contract Documents. The schedule clearly demonstrates the critical path of activities, durations and necessary predecessor conditions that drive the end date of the schedule. The Baseline Schedule shall not exceed the time limit current under the Contract Documents.

  • Work Schedule means the approved order and timeline for how the requirements of this contract, including Work on individual Units or groups of Units, will be fulfilled by the Contractor.

  • Project Completion Schedule means the progressive Project Milestones set forth in Schedule-J for completion of the Project Highway on or before the Scheduled Completion Date;

  • Milestone Schedule means Seller’s milestone schedule, the form of which is attached to this Agreement as Exhibit Q.

  • Timeline means the list of critical dates and actions included in the Introductory Materials.
