Rights in Developed Materials. Notwithstanding any provision to the contrary, upon their creation the Developed Materials (and all Intellectual Property Rights therein) will be the sole and exclusive property of the JBE. Contractor (for itself, Project Staff and Subcontractors) hereby irrevocably assigns, transfers and conveys to the JBE without further consideration all worldwide right, title and interest in and to the Developed Materials, including all Intellectual Property Rights therein. Contractor further agrees to execute, and shall cause Project Staff and Subcontractors to execute, any documents or take any other actions as may be reasonably necessary or convenient to perfect the JBE’s or its designee’s ownership of any Developed Materials and to obtain and enforce Intellectual Property Rights in or relating to Developed Materials. Contractor shall promptly notify the JBE upon the completion of the development, creation or reduction to practice of any and all Developed Materials.

In the event that Covered Work Product consists of or includes Software of any kind, Unisys shall deliver complete source code for such Software to Customer, together with sufficient documentation to make use of the source code to maintain, modify, use, update, upgrade and otherwise fully utilize the Software, but Unisys shall not be obligated to deliver source code for Unisys Work Product unless explicitly agreed by the parties.

Contractor further agrees to execute, and shall cause Project Staff and Subcontractors to execute, any documents or take any other actions as may be reasonably necessary or convenient to perfect the JBE’s and Judicial Branch Entities or its designee’s ownership of any Developed Materials and to obtain and enforce Intellectual Property Rights in or relating to Developed Materials. The Contractor shall promptly notify the JBE upon the completion of the development, creation or reduction to practice of any and all Developed Materials.
Rights in Developed Materials. All Software (and documentation), literary works, other works of authorship, specifications, design, analyses, programs, program listings, programming tools, documentation, reports, and drawings, whether tangible or intangible materials and Custom Software which are newly created by the Vendor in the performance of the Services (but excluding Vendor’s commercial off-the-shelf software) (“Materials”), or any modification, enhancements or derivative works of any Materials, created in performance of the Services, including the Deliverables and any data, findings, information in any form Vendor created in connection with the provision of Services under the Agreement (as embodied in such Materials) (“Developed Materials”) are property of the PBC and the PBC will own all copyright rights to the Developed Materials and of all aspects, elements and components of them in which copyright can subsist, and Vendor hereby assigns all such rights in the Developed Materials to the PBC. Vendor and the PBC intend that, to the extent permitted by law, the Developed Materials produced by Vendor under the Definitive Agreement are conclusively deemed “works made for hire” within the meaning and purview of Section 101 of the United States Copyright Act, 17 U.S.C. § 101 et seq. (the “Copyright Act”), and that the PBC will be the sole copyright owner of the Developed Materials and of all aspects, elements and components of them in which copyright can subsist, and of all rights to apply for copyright registration or prosecute any claim of infringement. To the extent that any Deliverable does not qualify as a “work made for hire,” Vendor hereby irrevocably grants, conveys, bargains, sells, assigns, transfers and delivers to the PBC, its successors and assigns, all right, title and interest in and to the copyrights and all U.S. and foreign copyright registrations, copyright applications and copyright renewals for them, and other intangible, intellectual property embodied in or pertaining to the Developed Materials prepared for the PBC under the Definitive Agreement, free and clear of any liens, claims or other encumbrances, to the fullest extent permitted by law.
