The Source. Code for the Software will reside on a single server dedicated exclusively for use by Authorized Employees for Authorized Work. The server will not be connected to any network accessible to anyone other than Authorized Employees for the purpose of performing Authorized Work. Only machines utilized by Authorized Employees for performing Authorized Work will be connected to this server. The Source Code for the Software shall only be transferred or downloaded to a dedicated workstation for an Authorized Employee performing Authorized Work. Under no condition will the Source Code for the Software be copied, transferred or downloaded to any other computer.

  • The Software The Software licensed under this Agreement consists of computer programs, data compilation(s), and documentation referred to as AutoPlay Media Studio, version 8 (the "Software").

  • Product Warnings By no later than the Effective Date, Homestead shall cause to have been removed from its California retailers’ shelves any Products that do not qualify as Reformulated Products. Nonetheless, commencing on the Effective Date, Homestead shall provide clear and reasonable warnings for all Products as set forth in subsections 2.3(a) and (b) for all products, if any, still on its California retailers’ shelves that do not qualify as Reformulated Products. Each warning shall be prominently placed with such conspicuousness as compared with other words, statements, designs, or devices as to render it likely to be read and understood by an ordinary individual under customary conditions before purchase or use. Each warning shall be provided in a manner such that the consumer or user understands to which specific Product the warning applies, so as to minimize the risk of consumer confusion.

  • Related Exclusions This agreement does NOT cover the following mental health services: • Telephone consultations (See Section 4.16); • Services provided in any covered program that are reviewed by us and we decide are recreation therapy programs, wilderness programs, educational programs, complimentary programs, or non-clinical services (examples of services that are not covered include, but is not limited to, Tai Chi, yoga, personal training, meditation, and internet based support/education); • Computer based/internet/social media services and/or programs. This agreement does NOT cover mental health services when: • the provider does NOT meet our eligibility and/or credentialing requirements; • the program is not approved by us for benefit coverage; or • treatment is rendered at facilities that are not approved and/or licensed by the state in which the facility is located. See Section 4.6 for Facilities We Have Not Approved and Section 4.8 for People/Facilities Who Are Not Legally Qualified or Licensed. For benefit information regarding coverage of substance use disorder in a hospital, substance use disorder treatment facility, or an acute substance use disorder rehabilitation/residential facility see Section B. Substance Use Disorder Treatment, below.

  • Service Warranty Provider has carefully examined and analyzed the provisions of this Agreement, including but not limited to all exhibits attached and incorporated into it, and can and will perform, or cause, the Services to be performed in strict accordance with the provisions and requirements of the Agreement. Services will be performed in a timely, professional and workmanlike manner in accordance with all applicable industry and professional standards.

  • Product Warranty Each product manufactured, sold, leased, or delivered by the Company or the Company Subsidiary has been in conformity with all applicable contractual commitments and all express and implied warranties, and neither the Company nor the Company Subsidiary has any Liability (and there is no basis for any present or future action, suit, proceeding, hearing, investigation, charge, complaint, claim, or demand against any of them giving rise to any Liability) for replacement or repair thereof or other damage in connection therewith, subject only to the reserve for product warranty claims set forth on the face of the Balance Sheet (rather than in any notes thereto) as adjusted for the passage of time through the Closing Date in accordance with the past custom and practice of the Company. No product manufactured, sold, leased, or delivered by the Company or the Company Subsidiary is subject to any guaranty, warranty, or other indemnity beyond the applicable standard terms and conditions of sale or lease. The Company has previously provided to Buyer complete and accurate copies of the standard terms and conditions of sale or lease for the Company and the Company Subsidiary (containing applicable guaranty, warranty, and indemnity provisions).

  • Service Outages (a) Service Outages Due to Power Failure or Disruption. 911 Dialing does not function in the event of a power failure or disruption. If there is an interruption in the power supply, the Service, including 911 Dialing, will not function until power is restored. Following a power failure or disruption, you may need to reset or reconfigure the Device prior to utilizing the Service, including 911 Dialing.

  • SERVICE EXCLUSIONS All of an Employee's years of Service with the Employer shall be counted to determine the vested interest of such Employee except:

  • Program Exclusions A Notice of Default (“NOD”) has been recorded on the subject property more than 60 days prior to the date of request for UMA assistance. • Homeowner is in “active” bankruptcy. Homeowners who have previously filed bankruptcy are eligible for consideration only with proof of court order “Dismissal” or “Discharge”. • Homeowner’s “hardship” is a result of voluntary resignation of employment. • Homeowner in an active HAMP trial modification is not eligible for UMA consideration unless the trial is cancelled. • Homeowner becomes fully employed at any time during the UMA benefit period. • Homeowner is actively being reviewed for a short sale, a deed in lieu and/or TAP benefits. • Property is subject to a first priority lien securing a Home Equity Line of Credit (“HELOC”).

  • Loop Testing/Trouble Reporting GSC will be responsible for testing and isolating troubles on the Loops. GSC must test and isolate trouble to the BellSouth portion of a designed/non-designed unbundled loop (e.g., UVL-SL2, UCL-D, UVL-SL1, UCL-ND, etc.) before reporting repair to the UNE Customer Wholesale Interconnection Network Services (CWINS) Center. At the time of the trouble report, GSC will be required to provide the results of the GSC test which indicate a problem on the BellSouth provided loop.
