If, however, Contractor fails to disclose to the Department such Contractor Pre-Existing Materials, Contractor shall grant the Department a nonexclusive, worldwide, paid-up license to use any Contractor Pre-Existing Materials embedded in the Work Product to the extent such Contractor Pre- Existing Materials are necessary for the Department to receive the intended benefit under this contract.
Such license shall remain in effect for so long as such Pre- Existing Materials remain embedded in the Work Product.
Nothing in this Section 29 will be construed to interfere with the Contractor’s or its affiliates’ ownership of Pre- Existing Materials.
Where Vendor seeks to embed or has embedded Pre- Existing Materials in the Work Product or Services, Vendor must first obtain written approval from Citizens.
