Reassignment of Personnel. The Superintendent may recommend to the School Board staff reassignments for the most effective deployment of personnel. Changes in work locations will not be made in an arbitrary or capricious manner.

Reassignment of Personnel. Assignment of personnel to provide the services described in the Exhibits is in the sole discretion of RGS. In the event that Agency, at any time during the term of this Agreement, desires the reassignment of personnel, Agency may make a request to RGS and RGS shall meet and confer in good faith to address the issue of concern, including but not limited to reassigning such person or persons.

Reassignment of Personnel. Spyglass shall have the right, with the consent of GI which shall not be unreasonably withheld, to reassign personnel of the Subsidiary working in the DSIC to other jobs at Spyglass; provided, however, that Spyglass shall not have the right to reassign the employees listed in Exhibit D (the "Key Employees") without the prior written consent of GI. Any reassigned personnel shall be promptly replaced with another employee having the necessary skills and training to perform tasks to which such person is assigned. In the event that GI requires any confirmation with respect to the qualifications of such replacement personnel, Spyglass agrees to make resumes and other appropriate information available to GI upon its request. Notwithstanding anything to the contrary above, Spyglass shall have the right to temporarily (i.e., for up to thirty (30) business days) reassign an employee of the Subsidiary to work on non-DSIC matters for Spyglass and to assign a skilled, trained and qualified replacement during such temporary period. In the event that any employee (including employees listed in Exhibit D (the "Key Employees")) of the Subsidiary terminates his/her employment with the Subsidiary or the Subsidiary terminates such employment, the Subsidiary shall have the right to hire a qualified person to replace such departing employee.

Substitute personnel shall not automatically receive the hourly rate of the individual or position being replaced. Covered California and the Contractor shall negotiate the hourly rate of any substitute personnel to the contract. The hourly rate negotiated shall be dependent, in part, on the experience and individual skills of the proposed substitute personnel. The negotiated rate cannot exceed the hourly rate stated in the contract. Covered California reserves the right to request a Contractor employee be removed from performing any work on the contract and, on written notice to the Contactor, the Contractor shall assign a substitute employee.

Reassignment of Personnel. Absent SABRE's consent (which shall not be unreasonably withheld) or as otherwise provided herein, for 12 months from the Effective Date of this Services Schedule, Comdisco shall not eliminate any personnel positions that have been provided as of the Effective Date.
