OBLIGATIONS OF THE GRANTOR. The Agency, in consideration of the undertakings of the Grantee under this Agreement, agrees to provide the Grant Funds to the Grantee in accordance with the terms and conditions set forth herein. The Agency's obligations under this Agreement are subject to the following conditions: ● The Grantee must use the Grant Funds exclusively for purposes that are consistent with the Plan and the Act. ● The Agency shall disburse the Grant Funds to the Grantee within thirty (30) days of approval of Xxxxxxx’s proof of payment, subject to the Grantee's compliance with the terms of this Agreement. ● The Agency may require the Grantee to submit periodic reports detailing the use of the Grant Funds and the progress of the project or activities funded thereby. ● In the event that the Grantee fails to comply with any of the conditions set forth in this Agreement, including but not limited to, utilizing the Grant Funds for purposes not outlined in the Plan or the Act, failure to maintain the Property as per the Agreement, or violation of the Declaration of Restrictive Covenant, the Agency may, at its sole discretion, require the return of all or part of the Grant Funds disbursed.

OBLIGATIONS OF THE GRANTOR. The Grantor herewith hands over in negotiable form, that is to say with a blank endorsement in favour of the Depositary, the original share certificate A-5 representing the Shares of the Corporation secured by hypothec pursuant to Section 1 in order that it may be disposed of according to the terms and conditions hereof, said certificate being annexed hereto as Schedule 4. If, for any reason whatsoever, the Grantor receives, in replacement thereof or in addition thereto, any new share certificates of the Corporation, it agrees to hand over the same to the Depositary within five (5) days of its receipt, without the latter being required to make any requests to that effect. The Shares secured by the hypothec shall only be delivered to the Creditor if the Grantor is in default pursuant hereto or pursuant to the Agreement.
OBLIGATIONS OF THE GRANTOR. The Grantor shall maintain the above-described easement in good condition and as described above at all times. Any corrective work performed by the Grantee on the property of the Grantor to the extent said corrective work is performed in accordance with this Agreement, shall be promptly paid by Grantor.
