The Agency shall. (a) establish joint Union/Management employment transition committees, where appropriate, to advise and consult on employment transition situations within the Agency, and
The Agency shall. A. When supervising a MSW student, assign a member of the Agency staff who meets MSW criteria established for a Field Supervisor by the Council on Social Work Education (MSW with two years experience), and who is acceptable to the Xxxxxx School of Social Work to provide supervision of the student’s learning activities in the practicum. This person is referred to as the “Field Supervisor”. The Task Supervisor who is working closely with the student will work in conjunction with the outside Supervisor.
The Agency shall a) Provide facilities as presently available and as necessary for the development and maintenance of a clinical educational experience for students of the program.
The Agency shall. A. Provide an on-site experience which is pertinent and meaningful for students enrolled in HHPR Degree Programs at the University.
The Agency shall a. Give STUDENT a complete tour of the site, and ensure that the STUDENT is aware of all safety policies and emergency procedures and is able to act responsibly in case of an emergency.
The Agency shall. 3.2.1 enter into transactions with the clients for the placement of the Advertising (section 2.1.1 of the Agreement), being guided first and foremost by the interests of the TV Company and the terms and conditions of this Agreement:
The Agency shall. (1) Request by telephone no later than 9:00 AM on each week-day an accurate number of meals to be delivered to the Agency. Notify the Vendor of necessary increases or decreases in the number of meal orders within one (1) hour of the scheduled delivery. Above time will be susceptible to change when a foggy day schedule is in effect.

  • Agency Shop A. The Union agrees that it has a duty to provide fair and non-discriminatory representation to all employees in all classes in the units for which this section is applicable regardless of whether they are members of the Union.

  • Transfer Agency Services Subject to the terms and conditions set forth in this Agreement, the Trust, on behalf of the Funds, hereby employs and appoints the Transfer Agent to act as, and the Transfer Agent agrees to act as its transfer agent for each Fund’s authorized and issued shares of beneficial interest (“Shares”), dividend disbursing agent, registrar and agent in connection with any accumulation, open-account or similar plan provided to the shareholders of each of the respective Funds of the Trust (“Shareholders”) and set out in the currently effective prospectus(es) and statement(s) of additional information (“prospectus”) of the Trust on behalf of the Funds, including without limitation any periodic investment plan or periodic withdrawal program. In accordance with procedures established from time to time by agreement between the Trust on behalf of the Funds, as applicable, and the Transfer Agent, the Transfer Agent agrees that it will perform the following services:

  • Required Notices to Rating Agency and Subservicer The Company, the Master Servicer or the Trustee, as applicable, (i) shall notify each Rating Agency at such time as it is otherwise required pursuant to this Agreement to give notice of the occurrence of, any of the events described in clause (a), (b), (c), (d), (g), (h), (i) or (j) below, (ii) shall notify the Subservicer at such time as it is otherwise required pursuant to this Agreement to give notice of the occurrence of, any of the events described in clause (a), (b), (c)(1), (g)(1), or (i) below, or (iii) provide a copy to each Rating Agency at such time as otherwise required to be delivered pursuant to this Agreement of any of the statements described in clauses (e) and (f) below:

  • SYSTEM AGENCY DATA A. As between the Parties, all data and information acquired, accessed, or made available to Performing Agency by, through, or on behalf of System Agency or System Agency contractors, including all electronic data generated, processed, transmitted, or stored by Performing Agency in the course of providing data processing services in connection with Performing Agency’s performance hereunder (the “System Agency Data”), is owned solely by System Agency.

  • Rating Agency Downgrade In the event that BSFP’s long-term unsecured and unsubordinated debt rating is reduced below “AA-” by Standard and Poor’s Ratings Services, Inc. (“S&P”) or its long-term unsecured and unsubordinated debt rating is withdrawn or reduced below “Aa3” by Xxxxx’x Investors Service, Inc. (“Moody’s” and together with S&P and Dominion Bond Ratings Service (“DBRS”), the “Swap Rating Agencies”, and such rating thresholds, “Approved Rating Thresholds”), then within 30 days after such rating withdrawal or downgrade (unless, within 30 days after such withdrawal or downgrade, each such Swap Rating Agency, as applicable, has reconfirmed the rating of the Cerificates and any Notes, which was in effect immediately prior to such withdrawal or downgrade), BSFP shall, at its own expense, subject to the Rating Agency Condition, (i) seek another entity to replace BSFP as party to this Agreement that meets or exceeds the Approved Rating Thresholds on terms substantially similar to this Agreement, (ii) obtain a guaranty of, or a contingent agreement of another person with the Approved Rating Thresholds, to honor, BSFP’s obligations under this Agreement, or (iii) take any other action that satisfies the Rating Agency Condition. BSFP’s failure to do any of the foregoing shall constitute an Additional Termination Event with BSFP as the Affected Party. In the event that BSFP’s long-term unsecured and unsubordinated debt rating is withdrawn or reduced below “BBB-” by S&P, then within 10 Business Days after such rating withdrawal or downgrade, BSFP shall, subject to the Rating Agency Condition and at its own expense, (i) secure another entity to replace BSFP as party to this Agreement that meets or exceeds the Approved Rating Thresholds on terms substantially similar to this Agreement, (ii) obtain a guaranty of, or a contingent agreement of another person with the Approved Rating Thresholds, to honor, BSFP’s obligations under this Agreement, or (iii) take any other action that satisfies the Rating Agency Condition. For purposes of this provision, “Rating Agency Condition” means, with respect to any particular proposed act or omission to act hereunder that the party acting or failing to act must consult with each of the Swap Rating Agencies then providing a rating of the Certificates and any Notes and receive from each of the Swap Rating Agencies a prior written confirmation that the proposed action or inaction would not cause a downgrade or withdrawal of the then-current rating of any Certificates or any Notes.

  • Agency Service Fee Section 1. Each employee who elects not to join or maintain membership in the Union shall be required to pay as a condition of employment, beginning thirty (30) days following the commencement of his/her employment, an agency service fee to the Union in an amount that is equal to the amount required to become and remain a member in good standing of the exclusive bargaining agent.

  • Rating Agency Fees The Depositor shall pay (or cause to be paid) the annual fees of each Rating Agency including, but not limited to, surveillance fees.

  • Rating Agency Notifications Notwithstanding any other provision of this Agreement, no Early Termination Date shall be effectively designated hereunder by Party B and no transfer of any rights or obligations under this Agreement shall be made by either party unless each Swap Rating Agency has been given prior written notice of such designation or transfer.

  • Per-­‐Registrar Transactions Report This report shall be compiled in a comma separated-­‐value formatted file as specified in RFC 4180. The file shall be named “gTLD-­‐transactions-­‐yyyymm.csv”, where “gTLD” is the gTLD name; in case of an IDN-­‐TLD, the A-­‐label shall be used; “yyyymm” is the year and month being reported. A transaction must be reported in the month the add grace period ends.

  • Agency Fees Borrower shall pay to the Administrative Agent an agency fee in such amounts and at such times as heretofore agreed upon by letter agreement between Borrower and the Administrative Agent. The agency fee is for the services to be performed by the Administrative Agent in acting as Administrative Agent and is fully earned on the date paid. The agency fee paid to the Administrative Agent is solely for its own account and is nonrefundable.
