Collaboration Plans. 2. The Collaboration shall be carried out for each Exclusive Gene Target pursuant to a separate written research plan (each, a “Collaboration Plan”) for such Exclusive Gene Target that is approved by the JSC. Each Collaboration Plan shall include the applicable detailed budget for the Internal Costs and Out-of-Pocket Costs for Sangamo’s research activities thereunder (the “Collaboration Budget”) and set forth:
Collaboration Plans. 3.1.2.1 The Parties will prepare an update to the Collaboration Plan prior to [**] of each calendar year during the Collaboration Term. The Collaboration Plan shall include the Collaboration Budget for activities to be undertaken by Translate Bio for the then-current calendar year of the Collaboration as to each of (1) FTE Costs, (2) Out-Of-Pocket Costs and (3) any Manufacturing Costs and an estimate with respect to each such Cost Category to be incurred in respect of Translate Bio’s activities for each remaining calendar year of the Collaboration Term thereafter. If the Parties do not agree to an update to a Collaboration Plan or a Collaboration Budget as part of the updating process, the then-current Collaboration Plan or Collaboration Budget, as applicable, shall continue to apply. The co-chairs of the JSC may agree in principle to modify the Collaboration Plan and/or Collaboration Budget and reflect such agreement in principle in the minutes of a JSC meeting; provided, however, that no such modification shall be binding on the Parties until a written amendment to this Agreement is executed recording such modification.
Collaboration Plans. Each of (a) the Research Activities and (b) the CMC Activities shall be carried out during the relevant Collaboration Term in accordance with the relevant Collaboration Plan. Each Collaboration Plan sets forth the responsibilities and activities to be performed by the Parties, details regarding each of the Parties’ deliverables and timetables for delivery of such deliverables. The Collaboration Plans may be modified by the JSC in accordance with Section 3.5, provided that no such modification may materially increase the other Party’s obligations under such Collaboration Plan unless the Parties have agreed to such increase in accordance with Section 21.11. To the extent any terms in any Collaboration Plan should at any time conflict with the terms of this Agreement, the terms of this Agreement shall prevail.
Collaboration Plans. Each Pillar in the MAP will have a detailed Collaboration Plan outlining each of the Projects consistent with the MAP Budget reasonably necessary to achieve each of the Pillar-specific Collaboration Missions; including [***] as outlined in Schedule 2 (“Collaboration Plan”). The JCC responsible for such Pillar shall coordinate the generation of an initial Collaboration Plan for each Pillars (accompanied by a budget consistent with the MAP Budget allocation) and within six (6) months of the Effective Date submit such Collaboration Plan to the JSC for approval. The [***] Collaboration Plans tied to each of the initial Pillars shall be set forth in Exhibit A-E of Schedule 2. It is anticipated that the JCC will continue to evolve their respective Collaboration Plans with additional Projects as the Collaboration Mission advances through their Pillar. The Parties will coordinate through the requisite JCC to oversee any amendments to the Collaboration Plans, including any additions or removal of Projects. Any substantive amendment to a Collaboration Plan shall be subject to JSC approval. Any budget changes will be handled at the MAP and MAP Budget level.
Collaboration Plans. The Target Discovery Plan and Drug Discovery Plan, including detailed work plans and performance criteria with respect to the Parties’ respective responsibilities and obligations thereunder, as contemplated by the Parties as of the date of this Agreement, are set out, respectively in Schedules 1.1.65 and 1.1.32. Certain information has been excluded from this agreement (indicated by “[***]”) because such information (i) is not material and (ii) would be competitively harmful if publicly disclosed.

  • Development Plans 4.3.1 For each Licensed Indication and corresponding Licensed Product in the Field, Licensee will prepare and deliver to Licensor a development plan and budget (each a “Development Plan”). The initial Development Plans for each Licensed Indication will be delivered within […***…] after the Grant Date for such Licensed Indication.

  • Commercialization Plan On a Product by Product basis, not later than sixty (60) days after the filing of the first application for Regulatory Approval of a Product in the Copromotion Territory, the MSC shall prepare and approve a rolling multiyear (not less than three (3) years) plan for Commercializing such Product in the Copromotion Territory (the "Copromotion Territory Commercialization Plan"), which plan includes a comprehensive market development, marketing, sales, supply and distribution strategy for such Product in the Copromotion Territory. The Copromotion Territory Commercialization Plan shall be updated by the MSC at least once each calendar year such that it addresses no less than the three (3) upcoming years. Not later than thirty (30) days after the filing of the first application for Regulatory Approval of a Product in the Copromotion Territory and thereafter on or before September 30 of each calendar year, the MSC shall prepare an annual commercialization plan and budget (the "Annual Commercialization Plan and Budget"), which plan is based on the then current Copromotion Territory Commercialization Plan and includes a comprehensive market development, marketing, sales, supply and distribution strategy, including an overall budget for anticipated marketing, promotion and sales efforts in the upcoming calendar year (the first such Annual Development Plan and Budget shall cover the remainder of the calendar year in which such Product is anticipated to be approved plus the first full calendar year thereafter). The Annual Commercialization Plan and Budget will specify which Target Markets and distribution channels each Party shall devote its respective Promotion efforts towards, the personnel and other resources to be devoted by each Party to such efforts, the number and positioning of Details to be performed by each Party, as well as market and sales forecasts and related operating expenses, for the Product in each country of the Copromotion Territory, and budgets for projected Pre-Marketing Expenses, Sales and Marketing Expenses and Post-Approval Research and Regulatory Expenses. In preparing and updating the Copromotion Territory Commercialization Plan and each Annual Commercialization Plan and Budget, the MSC will take into consideration factors such as market conditions, regulatory issues and competition.

The parties shall share marketing plans on an annual basis and with respect to periodic updates of material changes. The marketing plans of the Exchange and Contractor shall include proposed and actual marketing approaches, messaging and channels and provide samples of any planned marketing materials and related collateral as well as planned, and when completed, expenses for the marketing budget. The Contractor shall include this information for both the Exchange and the outside individual market. The Exchange shall treat all marketing information provided under this Section as confidential information consistent with Section 1.4.1. The obligation of the Exchange to maintain confidentiality of this information shall survive termination or expiration of this Agreement.

  • Research Program 2.1 University will use reasonable efforts to conduct the Research Program described in Attachment A which is hereby incorporated in full by reference (“Research Program”), and will furnish the facilities necessary to carry out said Research Program. The Research Program will be under the direction of _____________________ (“Principal Investigator”), or his or her successor as mutually agreed to by the Parties and will be con­ducted by the Principal Investigator at the University.

The installation referred to in item “c” includes, but is not limited to, offshore platforms, pipelines, Oil and Gas Treatment plants, equipment and facilities for measurement of the inspected Production, wellhead equipment, production pipes, flow lines, tanks, and other facilities exclusively intended for extraction, as well as oil and gas pipelines for Production Outflow and their respective compressor and pumping stations.
