Benefits and COBRA. Except as otherwise provided in this Section 4, effective as of his last day of employment with the Company, Executive will cease all health benefit coverage and other benefit coverage provided by the Company. Executive acknowledges that the Company has advised Executive of any rights that Executive or his eligible dependants may have under the Consolidated Omnibus Budget Reconciliation Act of 1985 (COBRA).

Provided Employee timely elects COBRA coverage, Brookdale agrees to provide continued group health plan coverage for Employee and Employee's eligible dependents (to the extent so elected) for twelve (12) months following the Termination Date at Brookdale's expense subject to co-payments and deductibles applicable to active employees of Brookdale.

Benefits and COBRA. (a) The Company shall provide the Executive for a period commencing on the Retirement Date and ending on the earlier of the third anniversary of the Retirement Date or the Executive’s death (the “Benefits Period”), life, health, and accident insurance benefits and the package of “executive benefitssubstantially similar, individually and in the aggregate, to those which the Executive was receiving immediately prior to the Retirement Date, including transfer of title of a company automobile, medical, dental, vision, and life benefits, as if Executive were continuing as an employee of the Company during the Benefits Period, provided, however, that with respect to the provision of insurance benefits during the Benefits Period, Executive shall be obligated to continue to pay that proportion of premiums paid by the Executive immediately prior to the Retirement Date. The Company shall apply the statutory health care continuation coverage (“COBRA”) provisions as if the Executive were a full-time employee of the Company during the Benefits Period, with the result that (i) the Executive’s spouse and dependents shall be eligible for continued health insurance coverage that is in all respects equivalent to COBRA coverage (“COBRA-Equivalent Coverage”) if an event occurs during the Benefits Period that would have been a “qualifying event” under COBRA had the Executive been an employee of the Company, and (ii) the Executive and the Executive’s spouse and dependents shall be eligible for COBRA-Equivalent coverage at the expiration of the Benefits Period and for a period of three years thereafter as if the Executive’s employment with the Company had terminated on the last day of the Benefits Period.

Employee will receive notification of rights to continued medical insurance coverage, along with appropriate insurance continuation election forms. In further consideration for the promises and covenants set forth in this Agreement, provided that Employee signs this Agreement, and further provided that Employee elects continuation coverage Company agrees to pay 100% of Employee’s monthly health insurance continuation premium for six (6) months (that is, for the months of May 2024 through October 2024). For continuation coverage commencing on November 1, 2024, Employee will be responsible for paying Employee’s full monthly health insurance continuation premiums as described in the insurance continuation documentation Employee will receive. All other applicable employee benefits will terminate as of the Separation Date.

Benefits and COBRA. Executive will remain eligible for all ViewRay benefits Executive was eligible to receive immediately prior to the full execution of this Amended Agreement. Such benefits include, but are not limited to, ViewRay’s group health insurance plan. Upon Executive's termination of employment, regardless of the timing of such termination during the Severance Period, to the extent Executive timely and properly elects health insurance continuation coverage under ViewRay’s group health insurance plan for Executive under the Consolidated Omnibus Budget Reconciliation Act (“COBRA”), ViewRay shall pay for the cost of the monthly COBRA premium for continuing health insurance coverage for Executive (the “COBRA Reimbursement”) until the earliest of: (i) twelve (12) months from Executive's termination date; (ii) the date Executive is no longer eligible to receive COBRA continuation coverage under ViewRay’s group health insurance plan; and (iii) the date on which Executive secures other employment. If ViewRay’s making the COBRA payment under this paragraph would violate the nondiscrimination rules applicable to non-grandfathered plans under the Affordable Care Act (the “ACA”), or result in the imposition of penalties under the ACA and the related regulations and guidance promulgated thereunder, the Parties agree to reform this paragraph in a manner as is necessary to comply with the ACA.
Benefits and COBRA. With the exception of medical and dental insurance, you will be eligible to participate in all employee benefit plans in which you are currently enrolled through your Separation Date. Your Company-provided medical and dental insurance will terminate effective the last day of the month of your Separation Date (July 31, 2014). Effective on the first day of the following month, you may elect to continue medical and dental insurance coverage at your own expense, except as otherwise provided in paragraph 2 of this Agreement, pursuant to a federal law known as COBRA. You will receive under separate cover information and enrollment forms regarding continuing insurance coverage pursuant to COBRA.
