AIRPORT CONCESSION DISADVANTAGED BUSINESS ENTERPRISE. (ACDBE) PARTICIPATION TENANT understands and acknowledges the following: This Lease is subject to the requirements of the U.S. Department of Transportation’s regulations 49 CFR Part 23. TENANT agrees that it will not discriminate against any business owner because of the owner’s race, color, national origin or sex in connection with the award or performance of any concession agreement, management contract or subcontract, purchase or lease agreement covered by 49 CFR Part 23. TENANT agrees to include the above statements in any subsequent agreement or contract covered by 49 CFR part 23, that it enters and cause those businesses to similarly include such statements in further agreements. TENANT shall provide a monthly report of ACDBE participation, if any, reported as a dollar amount and as a percent of total contract gross receipts. If there is no ACDBE participation in the agreement, no report is required. In addition, TENANT shall provide all information and reports required by the Airport and shall permit access to its books, records, accounts, other sources of information and its facilities as may be determined by the Airport to be pertinent to ascertain compliance with the regulations or directives.

AIRPORT CONCESSION DISADVANTAGED BUSINESS ENTERPRISE. The Airport Concession Disadvantaged Business Enterprise ("ACDBE") regulations (49 CFR Part 23) establish requirements for setting an overall goal for ACDBE participation in all concessions activities. This rule requires recipients of federal funds to use a methodology based on demonstrable data of relevant market conditions, and is designed to reach a goal the recipient would expect ACDBEs to achieve in the absence of discrimination. This Agreement is subject to the requirements of the USDOT's regulations, 49 CFR Parts 23 and 26. Contractor agrees that it will not discriminate against any business owner because of the owner's race, gender, color, national origin, religion, sexual orientation, marital status, political affiliation, age, or physical or mental disability in connection with the award or performance of this Agreement, which is covered by 49 CFR, Parts 23 and 26. Contractor agrees to include the above statements in any subsequent agreements that it enters into for Services under this Agreement and shall cause those businesses to similarly include the statements in further agreements.

AIRPORT CONCESSION DISADVANTAGED BUSINESS ENTERPRISE. (ACDBE) Designation The MRCC shall review and make an eligibility determination on applicant firms in accordance with 49 CFR Parts 26 and 23 that are participating or seeking opportunities to participate as an ACDBE. The MRCC will perform the review of eligibility for ACDBE certification of applicant firms that are seeking airport concession opportunities or are participating in airport concession activities. References to DBEs throughout this document are inclusive of ACDBEs unless expressly excluded.

AIRPORT CONCESSION DISADVANTAGED BUSINESS ENTERPRISE. (ACDBE) PARTICIPATION As a recipient of federal funds, it is the obligation of FWACAA to monitor the ACDBE participation of concessionaires for compliance with the ACDBE program during the course of the Agreement. The requirements of 49 CFR Part 23, regulations of the U.S. Department of Transportation, apply to this concession. It is the policy of FWACAA to practice nondiscrimination based on race, color, sex, or national origin in the award or performance of this concession. An ACDBE concession specific goal of one per cent (1%) of annual Gross Receipts and good/services (excluding fleet) has been established for this concession. Prior to the inception of this Agreement, the following information was submitted by Company and approved by FWACAA: (1) the names and addresses of ACDBE firms and suppliers that will participate in the concession, (2) A description of the work that each ACDBE will perform; (3) The estimated dollar amount of the participation of each ACDBE firm participating; and (4) a signed confirmation from the ACDBE that it can provide the products or services desired by Company for the concession . In accordance with 49 CFR Part 23.25 and 26.53, after the Commencement Date, changes to previously approved ACDBE programs and participants must be approved by FWACAA. Company shall make good faith efforts (as defined in Appendix A, 49 CFR Part 26) to replace an approved ACDBE who failed to fulfill its obligations with another ACDBE. Company shall submit for FWACAA’s review and approval any such changes using the form in E xhibit “E” attached hereto. Such approval will verify Company’s continued compliance with 49 CFR Part 23 and the incorporated provisions of 49 CFR Part 26. Company agrees to provide FWACAA a quarterly ACDBE participation report in the format proscribed in Exhibit “D” attached hereto. Such report shall be due within 3 months of the quarter end dateon or before the first day of March, June, September and December of each yearduring of the Term of this Agreement. If FWACAA does not receive the report by these proscribed dates, FWACAA will notify via e-mail Company’s personnel responsible for ACDBE compliance regarding this Agreement. Company shall then have ten (10) business days to comply. Failure of Company to submit the quarterly reports after than additional ten (10) day period shall result in Company being assessed a late fee of One Hundred Dollars ($100.00) per delinquent report per quarter.
