Compliance with the Regulations. SAP shall comply with its obligations as a Processor under the Regulations and provide, upon reasonable request, documentation and information required by Customer in order to verify such compliance.
Compliance with the Regulations. Each PGRE shall, and shall use its reasonable endeavours to procure that all its employees, officers, agents and sub-contractors shall, comply with the Regulations, as amended from time to time in accordance with clause 7.
Compliance with the Regulations. Spheris shall to the extent applicable comply with HIPAA and other applicable regulations in the United States for such locations where HSIPL is providing transcription services.
Compliance with the Regulations. Home Owner shall comply with the requirements respecting maintenance and use of the Premises set forth in the Regulations, and failure to comply shall constitute a breach of this Sublease and give rise to a cause of action by the Association for the recovery of damages or for injunctive relief, or both.
Compliance with the Regulations. Notwithstanding anything in this Agreement to the contrary, distributions pursuant to Section 14.03(c) shall be made upon any liquidation of the Company (within the meaning of Section 1.704-1 (b)(ii)(g) of the Regulations (a “Tax Liquidation”)) within the time required by Section 1.704-1 (b)(ii)(b)(2) of the Regulations. Notwithstanding the immediately preceding paragraph, in the event of a Tax Liquidation which does not result in a dissolution and winding up of the Company pursuant to Section 14.04 hereof, Company property shall not be liquidated, the Company’s liabilities shall not be paid or discharged, and the Company’s affairs shall not be wound up. Instead, solely for federal income tax purposes, the Company shall be deemed to have distributed all Company property in kind to the Members, who shall be deemed to have assumed and taken subject to all Company liabilities, all in accordance with their respective Capital Account balances pursuant to the immediately preceding paragraph of this Section 14.04. Immediately thereafter the Members shall be deemed to have recontributed the property to the Company, which shall be deemed to have assumed and taken subject to all such liabilities.
Compliance with the Regulations. In this regard, the Resident is obliged to comply without restriction or reservation, the rules contemplated in the Internal Code of Conduct and the different rules of use of common spaces, Internet, computer network and / or appliances or utensils put at the Resident’s disposition, both in the accommodation contracted, as in the common areas, as well as in each and every one of the modifications approved in the future. Such modifications will be communicated personally to each Resident. For their part, the Residents assume the responsibilities of any type (administrative, civil, criminal, etc.) that entails the breach of current regulations.
Compliance with the Regulations. HS shall to the extent applicable comply with HIPAA, and other applicable regulations in the United States for such locations where HSIPL, is providing transcription services to third party customers other than Clients.

In addition, HSIPL shall comply with all business associate agreements executed by it, including the business associate agreement attached as Exhibit B. Furthermore, if HS determines that HSIPL must agree to additional terms to comply with HIPAA or any other privacy law or regulation, HSIPL shall agree to amend the terms or any Business Associates Agreement signed by it in order to so comply. HSIPL AND HS SPECIFICALLY ACKNOWLEDGE THAT HSIPL'S NON-COMPLIANCE WITH HIPAA OR ANY OTHER PRIVACY LAW OR REGULATION, COULD PRODUCE SIGNIFICANT AND POTENTIALLY CATASTROPHIC DAMAGES, IN CONSIDERATION OF PROVIDING SERVICES HEREUNDER, HSIPL EXPLICITLY ACKNOWLEDGES AND ASSUMES THE RISKS OF DAMAGES FOR HS'S BUSINESS LOSSES, LOSS OF REPUTATION, COSTS OF GOVERNMENT INVESTIGATION, COSTS OF NOTIFYING AFFECTED PERSONS OF PRIVACY RIGHT INFRINGEMENT, AND ANY OTHER TYPE OF LOSS ATTRIBUTABLE TO HSIPL'S VIOLATION OF HIPAA OR ANY OTHER PRIVACY LAW OR REGULATION, THESE DAMAGES ARE IN ADDITION TO ALL OTHER REMEDIES AVAILABLE TO HS INCLUDING THEORIES BASED IN CONTRACT OR TORT, INSURANCE RIGHTS, AND HSIPL'S INDEMNIFICATION DUTIES.
