Extent of Service from Employment Agreement

THIS EMPLOYMENT AGREEMENT (the Agreement) between ScanSource, Inc., a South Carolina corporation (the Company), and Michael L. Baur (the Executive) (collectively the Parties) is effective as of July 1, 2017 (the Effective Date).

Extent of Service. During the Employment Period, the Executive agrees to devote his business time, attention, skill and efforts exclusively to the faithful performance of his duties hereunder. Provided, however, that it shall not be a violation of this Agreement for the Executive to (i) devote reasonable periods of time to charitable and community activities and, with the approval of the Board or the Compensation Committee of the Board (the Compensation Committee), industry or professional activities, and/or (ii) manage personal business interests and investments, so long as these activities do not interfere with the performance of the Executives responsibilities under this Agreement. The Executive agrees to comply with all lawful rules and policies established by the Company throughout the Employment Period and that he will act in accordance with applicable laws, rules and regulations in the performance of his duties.

Extent of Service from Employment Agreement Between

THIS EMPLOYMENT AGREEMENT (this Agreement) is made and entered into this 6th day of January, 2017 by and between Keryx Biopharmaceuticals, Inc., a Delaware corporation (the Company), and Christine A. Carberry (Executive), to be effective as of the Effective Date, as defined in Section 1.

Extent of Service. During the Employment Period, Executive agrees to devote her full business time, attention, energy and best efforts to the business and affairs of the Company and to use Executives reasonable best efforts to perform faithfully and efficiently the responsibilities assigned to Executive hereunder. During the Employment Period it shall not be a violation of this Agreement for Executive to (A) manage personal investments, or (B) devote time to charitable and community activities or, with the approval of the CEO, industry or professional activities including service on the board of directors of another corporation, so long as such activities do not interfere or conflict with the performance of Executives responsibilities as an employee of the Company in accordance with this Agreement.

Extent of Service from Employment Agreement

THIS EMPLOYMENT AGREEMENT (this "Agreement") is made and entered into this 21st day of December, 2016 by and between FARO Technologies, Inc., a Florida corporation (the "Company"), and Robert E. Seidel ("Executive"), to be effective as of December 16, 2016 (the "Effective Date").

Extent of Service. During the Employment Period, Executive shall devote substantially all of his business effort, time, energy, and skill to the business of the Company, to the promotion of the interests of the Company, and to the fulfillment of Executive's obligations under this Agreement.

Extent of Service from Executive Employment Agreement

THIS EXECUTIVE EMPLOYMENT AGREEMENT (this "Agreement") is made and entered as of the 25th day of July, 2016, by and among AMERIS BANCORP, a Georgia corporation (the "Bancorp"), AMERIS BANK, a Georgia state-chartered bank and wholly owned subsidiary of the Bancorp (the "Bank"; the Bancorp and the Bank are collectively referred to herein as the "Employer"), and JOSEPH B. KISSEL ("Executive").

Extent of Service. During the Employment Period, and excluding any periods of vacation, sick or other leave to which Executive is entitled under this Agreement, Executive agrees to devote all of Executive's business time and efforts to serving the business and affairs of the Employer commensurate with Executive's offices. During the Employment Period, it shall not be a violation of this Agreement for Executive, subject to the requirements of Section 11, to (i) serve on civic or charitable boards or committees or (ii) manage personal investments, so long as such activities do not materially interfere with the performance of Executive's responsibilities to the Employer or violate the Employer's conflicts of interest or other applicable policies.

Extent of Service from Employment Agreement

THIS EMPLOYMENT AGREEMENT (this Agreement) is made and entered into on December 15, 2015 by and between Autoliv, Inc., a Delaware corporation (the Company), and Mikael Bratt, personal number ( ) (the Executive), to be effective as of the Effective Date, as defined in Section 1.

Extent of Service. During the Employment Period, the Executive shall use his best efforts to promote the interests of the Company and those of its subsidiary and associated companies (Affiliates) and shall devote his full time and attention during normal business hours to the business and affairs of the Company and its Affiliates. In addition, the Executive shall devote as much time outside normal business hours to the performance of his duties as may in the interests of the Company be reasonably necessary; provided, however, that the Executive shall not receive any remuneration in addition to that set out in Section 5 hereof in respect of his work during such time. During the Employment Period, the Executive shall not, without the consent of the Chief Executive Officer, directly or indirectly, either alone or jointly with or as a director, manager, agent or servant of any other person, firm or company, be engaged, concerned or interested in any business in a manner that would conflict with the Executives duties under this Section 4 (including holding any shares, loan, stock or any other ownership interest in any competitor of the Company), provided that nothing in this Section 4 shall preclude the Executive from holding shares, loan, stock or any other ownership interest in an entity other than a competitor of the Company as an investment.

Extent of Service from Employment Agreement

THIS EMPLOYMENT AGREEMENT (this Agreement) is made and entered into on November 20, 2015 by and between Autoliv, Inc., a Delaware corporation (the Company), and Mats Backman, personal number ( ) (the Executive), to be effective as of the Effective Date, as defined in Section 1.

Extent of Service. During the Employment Period, the Executive shall use his best efforts to promote the interests of the Company and those of its subsidiary and associated companies (Affiliates) and shall devote his full time and attention during normal business hours to the business and affairs of the Company and its Affiliates. In addition, the Executive shall devote as much time outside normal business hours to the performance of his duties as may in the interests of the Company be reasonably necessary; provided, however, that the Executive shall not receive any remuneration in addition to that set out in Section 5 hereof in respect of his work during such time. Extent of Service from Employment Agreement

THIS EMPLOYMENT AGREEMENT (this Agreement) is made and entered into this 27th day of April, 2016 by and between FARO Technologies, Inc., a Florida corporation (the Company), and Joseph Arezone (Executive), to be effective as of April 25, 2016 (the Effective Date).

Extent of Service. During the Employment Period, Executive shall devote substantially all of his business effort, time, energy, and skill to the business of the Company, to the promotion of the interests of the Company, and to the fulfillment of Executives obligations under this Agreement.

Extent of Service from Amended and Restated Employment Agreement

THIS AMENDED AND RESTATED EMPLOYMENT AGREEMENT (this Agreement) is made and entered into this 27th day of April, 2016 by and between FARO Technologies, Inc., a Florida corporation (the Company), and Jody S. Gale (Executive), to be effective as of April 25, 2016 (the Effective Date). This Agreement amends and restates in its entirety the Employment Agreement dated as of February 3, 2014 between the Company and Executive.

Extent of Service. During the Employment Period, Executive shall devote substantially all of his business effort, time, energy, and skill to the business of the Company, to the promotion of the interests of the Company, and to the fulfillment of Executives obligations under this Agreement.

Extent of Service from Amended and Restated Employment Agreement

THIS AMENDED AND RESTATED EMPLOYMENT AGREEMENT (this Agreement) is made and entered into this 27th day of April, 2016 by and between FARO Technologies, Inc., a Florida corporation (the Company), and Kathleen J. Hall (Executive), to be effective as of April 25, 2016 (the Effective Date). This Agreement amends and restates in its entirety the Employment Agreement dated as of July 15, 2013 between the Company and Executive.

Extent of Service. During the Employment Period, Executive shall devote substantially all of her business effort, time, energy, and skill to the business of the Company, to the promotion of the interests of the Company, and to the fulfillment of Executives obligations under this Agreement.

Extent of Service from Employment Agreement

THIS EMPLOYMENT AGREEMENT (this Agreement) is made and entered into this 29th day of July, 2015 by and between FARO Technologies, Inc., a Florida corporation (the Company), and Laura Murphy (Executive), to be effective as of August 10, 2015 (the Effective Date).

Extent of Service. During the Employment Period, Executive shall devote substantially all of her business effort, time, energy, and skill to the business of the Company, to the promotion of the interests of the Company, and to the fulfillment of Executives obligations under this Agreement. Executive acknowledges and agrees that from time to time the Company may assign Executive to different or additional positions with the Company or one of the Companys affiliated companies, with such title, duties, and responsibilities as determined by the Company in its sole discretion. Executive agrees to serve any and all such positions without additional compensation.
