A Director definition

A Director or beneficiary ("claimant") who has not received benefits under the Agreement that he or she believes should be paid shall make a claim for such benefits as follows:

A Director means a non-executive director (niet uitvoerend bestuurder) of the Company appointed by the A Shareholder in accordance with clause 3.3.1;

A Director means a Director appointed an A Director pursuant to this agreement or the Articles;

• Frequently reports to a Director, Systems and Programming, Departmental IT Executive or Operating Unit IT Executive.

• Frequently reports to a Director, Data Warehouse or Director, Systems and Programming.

• All acts done by any Board meeting or of a committee of the Board or by any person acting as a Director are, despite any defect in the appointment of a person to be, or to act as, a Director, or that a person so appointed was disqualified, as valid as if the person had been duly appointed and was qualified to be a Director or to be a member of the committee.

• The appointment of a Managing Director or Executive Director so appointed automatically terminates if he ceases for any reason to be a Director.

• Any duties (including fiduciary duties) of a Director to the Company or to any other Member that would otherwise apply at law or in equity are hereby eliminat- ed to the fullest extent permitted under the Act and any other applicable law; provided that (a) the forego- ing shall not eliminate the obligation of each such Person to act in compliance with the express terms of this Agreement and (b) the foregoing shall not be deemed to eliminate the implied contractual covenant of good faith and fair dealing.

A Director s finding” means a finding of fact made by the Director in the course of—
