Substantially all definition

Substantially all means a sale, lease, exchange or other transfer involving seventy percent (70%) or more of the fair market value of the assets of such entity; or
Substantially all when used in relation to assets, means assets of the relevant entity or entities having a market value of at least 75% of the market value of all of the assets of such entity or entities at the date of the relevant transactions.

Substantially all in this context means that all drugs and unique dosage forms in these categories are expected to be included in sponsor formularies, with the following exceptions:
Substantially all means assets having a fair market value, whether or not realized in the transaction, that is 50% or more of the aggregate fair market value of all assets of such entity); or in the case of a Subsidiary the sale, transfer or other disposition (other than to a direct or indirect wholly owned subsidiary of M&LP) of securities that immediately prior to such transaction constituted 50% or more of such Subsidiary's outstanding voting securities.
