Common use of Extent of Service Clause in Contracts

Extent of Service. Executive agrees to use Executive’s best efforts to carry out Executive’s duties and responsibilities under Section 1.1 hereof and, consistent with the other provisions of this Agreement, to devote substantially all of Executive’s business time, attention and energy thereto. The foregoing shall not be construed as preventing Executive from making investments in other businesses or enterprises, provided that Executive agrees not to become engaged in any other business activity which, in the reasonable judgment of the Board, is likely to interfere with Executive’s ability to discharge Executive’s duties and responsibilities to the Company.

Extent of Service. Extent of Service. Executive agrees to use During Executive’s employment under this Agreement, Executive shall devote Executive’s full business time, best efforts and business judgment, skill and knowledge to carry out the advancement of Employer’s business and interests and to the discharge of Executive’s duties and responsibilities under Section 1.1 hereof and, consistent with the other provisions of this Agreement, to devote substantially all of Executive’s business time, attention and energy thereto. Extent of Service. The foregoing shall not be construed as preventing Executive from making investments in other businesses or enterprises, provided that Executive agrees not to become engaged in any other business activity which, in the reasonable judgment of the Board, is likely to interfere with Executive’s ability to discharge Executive’s duties and responsibilities to the Companyobligations under this Agreement.

Extent of Service. The foregoing shall not be construed as preventing Executive from making investments in other businesses or enterprises, provided that Executive agrees not to become engaged in any other business activity which, in the reasonable judgment of the Board of Trustees of the Trust (the “Board”), is likely to interfere with Executive’s ability to discharge Executive’s duties and responsibilities to the CompanyCompany and the Trust.

Extent of Service. Executive agrees to use Executive’s best efforts to carry out Executive’s duties and responsibilities under Section 1.1 hereof and, consistent with the other provisions of this Agreement, to devote substantially all of Executive’s business time, attention and energy thereto. The foregoing Executive further agrees not to work either on a part-time or independent contracting basis as a financial consultant for any other business or enterprise during the Employment Term without the prior written consent of the Parent's Board of Directors (the "Board"), which consent shall not be construed as preventing Executive from making investments in other businesses or enterprises, provided that Executive agrees not to become engaged in any other business activity which, in the reasonable judgment of the Board, is likely to interfere with Executive’s ability to discharge Executive’s duties and responsibilities to the Companyunreasonably withheld.

The foregoing shall not be construed as preventing Executive from making investments in other businesses serving on the board of philanthropic organizations, or enterprisesproviding oversight with respect to his personal investments, provided that Executive agrees (including Xxxxxxx Development Group and its Affiliates) and the Xxxxxxx Family Trust and its Affiliates, so long as such service does not to become engaged in any other business activity which, in the reasonable judgment of the Board, is likely to materially interfere with Executive’s ability to discharge Executive’s duties and responsibilities to the Companyhereunder.
