ENGAGING IN means directly or indirectly to engage in, own, manage, participate in, or otherwise obtain an interest in (as owner, stockholder, agent, partner, representative, director, consultant, or otherwise). (e) "GOCO OPERATION" shall mean any activity conducted by a Party hereto pursuant to an agreement existing on or prior to the date first above written (or an extension, renewal or other continuation of such an agreement concerning the same facility as the prior agreement) with the federal government of the United States of America by which such party operates or maintains an Ammunition or Ammunition components (including powder) production facility for and on behalf of such government; provided, however, that such term shall not include any activity conducted at such facility that is not conducted by the respective party on behalf of such government pursuant to such agreement (such as, but not limited to, activity conducted by a respective party for its own account at such facility, whether pursuant to a facilities use agreement with the government or otherwise). (f) "MEDIUM & LARGE CALIBER AMMUNITION & COMPONENTS" shall mean (i) fully- loaded rounds of Ammunition having a diameter of 20 millimeters or larger, other than shotshells and (ii) components of such fully-loaded rounds. (g) "NONLETHAL AMMUNITION" shall mean Ammunition that is designed and intended to minimize or avoid any injury, damage or death resulting from its use or otherwise intended to be less-than-lethal, including but not limited to having the effect of slowing or temporarily incapacitating an aggressor through means intended to minimize or avoid permanent physical damage to the aggressor. The term "Nonlethal Ammunition" does not include: (i) blanks, and (ii) any Ammunition currently produced by the parties hereto, nor any developments therefrom based on techniques historically used in the Ammunition industry for delivering lethal or injurious force to an aggressor through the use of a metal projectile. (h) "OCSW AND OICW" shall mean the objective crew served weapon and the objective individual combat weapon, respectively, being developed by Primex for the U.S. Army. (i) "OCSW AND OICW AMMUNITION" shall mean Ammunition used in OCSW and OICW objective individual combat weapon, respectively, being developed by Primex for the U.S. Army.
ENGAGING IN a business means to carry on, work with, be employed by, consult for, solicit customers for, advise, contribute, or sell or license intellectual property to, any enterprise or endeavor, either individually, in partnership or in conjunction with any person, firm, association, partnership, joint venture, limited liability company, corporation or other business, whether as principal, agent, shareholder, partner, joint venturer, member, director, officer, employee, consultant, licensor or in any other manner whatsoever. However, nothing contained in this Agreement shall prohibit Shareholders from (i) being employed by or serving as a consultant to SmartForce or Acquisition Corp. (or any other Affiliate of SmartForce), (ii) acquiring or holding at any one time less than one percent (1%) of the outstanding securities of any publicly traded company, (iii) holding stock of SmartForce or Acquisition Corp., or (iv) acquiring or holding an interest in a mutual fund, limited partnership, venture capital fund or similar entity of which Shareholders are not an employee, officer or general partner and have no power to make, participate in or directly influence the investment decisions of such mutual fund, limited partnership, venture capital fund or investment entity; and

ENGAGING IN means actively investing in (and shall not include passively investing in any company that makes bona-fide investments), soliciting customers for, owning stock or any other equity interest in, lending money to, guaranteeing the debts or obligations of, permitting one’s name to be used in connection with, or otherwise engaging in, either individually or in partnership or conjunction with any other person or entity. Notwithstanding the above, nothing contained in this Section 7.1(b) shall prohibit Seller or its affiliates from holding and making investments in securities of any corporation or limited partnership whose securities are traded on a national securities exchange or are quoted on NASDAQ or an over-the-counter market, provided that Roxio’s or such affiliates’ equity interest therein does not exceed five percent (5%) of the outstanding shares or interests in such corporation or partnership.
ENGAGING IN means participating, directly or indirectly, in the prohibited conduct or causing, directing, employing, enabling or assisting others to participate in such conduct.
ENGAGING IN means actively investing in (and shall not include passively investing in any company that makes bona fide investments), soliciting customers for, owning stock or any other equity interest in, lending money to, guaranteeing the debts or obligations of, permitting one's name to be used in connection with, licensing technology or intellectual property rights or otherwise materially engaging in, either individually or in a partnership or in conjunction with any other person or entity. Subject to the foregoing, the sale, distribution and support of any Excluded Assets shall not, by itself, be deemed to be engaging in the Business or otherwise a breach of this Section 14.1. For purposes of this Section 14.1, a "CHANGE OF CONTROL" means any of the following: (1) any sale or transfer of all or substantially all of the assets of Seller; (2) any merger consolidation or other business reorganization in which the holders of Seller's outstanding voting securities immediately prior to such transaction do not hold, immediately following such transaction, securities representing 50% or more of the combined voting power of the outstanding securities of the surviving entity; (3) the acquisition by any person (within the meaning of Section 13(d)(3) or Section 14(d)(2) of the Securities Exchange Act of 1934, as amended (the "EXCHANGE ACT"), of beneficial ownership (within the meaning of Rule 13d-3 or any successor rule or regulation promulgated under the Exchange Act) of securities representing 50% or more of the combined voting power of the then outstanding securities of Seller.
ENGAGING IN means directly or indirectly to engage in, own, manage, participate in, or otherwise obtain an interest in (as owner, stockholder, agent, partner, representative, director, consultant, or otherwise).

  • Engaging in business means commencing, conducting, or continuing in business, and liquidating a business when the liquidator thereof holds itself out to the public as conducting such business. Making a casual sale is not engaging in business.

  • Business Activities shall be any business activities conducted by Buyer, Seller, SNB, or any of their Affiliated Companies, which consist of commercial or consumer loans and extensions of credit, letters of credit, commercial and consumer deposits and deposit accounts, securities repurchase agreements and sweep accounts, cash management services, money transfer and xxxx payment services, internet or electronic banking, automated teller machines, XXX and retirement accounts, commercial or consumer mortgage loans, and commercial or consumer home equity lines of credit. For purposes of this Agreement, the “Restricted Area” means each and any county where the Buyer, SNB, Bank or any of their Affiliated Companies (i) operates a banking office at the Effective Time, or (ii) has operated a banking office within the preceding 12 months. Nothing in this Section 2(d) shall prohibit Director from acquiring or holding, for investment purposes only, less than five percent (5%) of the outstanding securities of any company or business organization which may compete directly or indirectly with Seller, Buyer, SNB, or any of their Affiliated Companies. Nothing in this Agreement shall prohibit a Director or any of such Director’s Affiliated Companies from continuing to hold outstanding securities of an entity that engages in Business Activities in excess of five percent (5%); provided that such securities were held by the Director or any of such Director’s Affiliated Company as of the date of this Agreement.

  • Prohibited Activities means directly or indirectly engaging as an owner, employee, consultant or agent of any entity that derives more than 10% of its consolidated revenue from the development, manufacturing, marketing and/or distribution (directly or indirectly) of the global eye health business; provided that Prohibited Activities shall not mean (i) your investment in securities of a publicly-traded company equal to less than five (5%) percent of such company’s outstanding voting securities or (ii) serving as a member of a board of directors of a company provided that, for the avoidance of doubt, you comply with the obligations set forth in Sections 8 and 9(a) of this Agreement. You agree that the covenants contained in this Section 9(b) are reasonable and desirable to protect the Confidential Information of the Company and its affiliates.

  • Interscholastic Activities means athletic or non-athletic/academic activities where students compete on a school vs. school basis.

  • Engage means to make any arrangement, and "engagement" means arrangement, whereby an individual is employed or retained for compensation to act for or on behalf of an employer to influence executive agency decisions or to conduct any executive agency lobbying activity;
