Attention and Time. Executive shall devote substantially all Executive’s business attention and time to Executive’s duties hereunder and shall use Executive’s reasonable best efforts to carry out such duties faithfully and efficiently. During the Term, it shall not be a violation of this Agreement for Executive to (i) serve on industry, trade, civic or charitable boards or committees; (ii) deliver lectures or fulfill speaking engagements; or (iii) manage personal investments, as long as such activities do not materially interfere with the performance of Executive’s duties and responsibilities as described herein. Executive shall be permitted to serve on for-profit corporate boards of directors if approved in advance by the Board. Notwithstanding the foregoing, Executive shall use Executive’s best efforts to resign from any outside positions consistent with Executive’s obligations with respect to such position if the Board determines in good faith that such activities interfere in any material respect with the performance of Executive’s duties and responsibilities for the Company.

Attention and Time. During the Term, the Executive shall devote substantially all Executive’s business attention and time to the performance of the Executive’s duties hereunder and will not engage in any other business, profession, or occupation for compensation or otherwise which would conflict or interfere with the performance of such services either directly or indirectly without the prior written consent of the Board. Notwithstanding the foregoing, the Executive will be permitted to (a) with the prior written consent of the Board (which consent will not be unreasonably withheld or delayed) act or serve as a director, trustee, committee member, or principal of any type of business, civic, or charitable organization, and (b) purchase or own less than five percent (5%) of the publicly traded securities of any corporation; provided that, such ownership represents a passive investment and that the Executive is not a controlling person of, or a member of a group that controls, such corporation; provided further that, the activities described in clauses (a) and (b) do not interfere with the performance of the Executive’s duties and responsibilities to the Company as provided hereunder, including, but not limited to, the obligations set forth in Section 2 hereof. The Executive shall use their best efforts to resign from any outside position(s), consistent with the Executive’s obligations with respect to such position(s), if, at any time during the Term, the Board determines in good faith that such activities materially interfere with the performance of the Executive’s duties and responsibilities for the Company.

Executive’s employment shall also be subject to the policies maintained and established by the Company and the Parent Company that are of general applicability to the Company’s and the Parent Company’s executives, as such policies may be amended from time to time. Notwithstanding anything herein to the contrary, it shall not be a violation of this Agreement for Executive to (i) engage in activities relating to, or serve on boards or committees of, industry, trade, civic, or charitable entities or associations; (ii) deliver lectures or fulfill speaking engagements; or (iii) manage passive personal investments, as long as such activities do not conflict with the business and affairs of the Parent Company and its Subsidiaries or materially interfere with the performance of Executive’s duties and responsibilities as described herein. Executive shall be permitted to serve on for-profit corporate boards of directors and advisory committees if approved in advance by the Supervisory Board.
Attention and Time. It is expected that Executive’s duties during the Transition Term will be of an advisory or transitional nature and at a significantly reduced level from those on the date hereof. Executive shall use his reasonable best efforts to carry out such duties faithfully and efficiently. During the Transition Term, it shall not be a violation of this Agreement for Executive to (i) be employed by or a consultant or advisor to another entity provided Executive complies with the covenants in this Agreement and provides advance notice to the Board and the Chief Executive Officer of the Company; (ii) serve on industry, trade, civic or charitable boards or committees; (iii) deliver lectures or fulfill speaking engagements; (iv) manage personal investments; or (v) serve as a director of Xxxxxx, Inc., as long as such activities do not materially interfere with the performance of Executive’s duties and responsibilities as described herein. Executive shall be permitted to serve on for-profit corporate boards of directors if approved in advance by the Board, which approval shall not be unreasonably withheld or delayed.
