Usage Audit. Upon reasonable notice to Customer, during the term of this Agreement and for three years thereafter, Customer will keep current, complete, and accurate records regarding the reproduction, distribution, and use of the Upland Content. Customer will provide such information to Upland and certify that it has paid all fees required under this Agreement within five (5) business days of any written request, so long as no more than two (2) requests are made each year. Customer shall permit Upland to audit Customer’s use of the Upland Content. Such audit may be conducted no more than once per quarter, at Upland’s expense, and this right will be exercised with reasonable prior notice, in such a manner as not to interfere with Customer’s normal conduct of business. If any of the audits referred to herein reveal that Customer has underpaid any fees to Upland in connection with the Upland Content, Customer shall pay to Upland an amount equal to such underpayment within ten (10) business days of the date of such audit. This Section 1.4 shall survive the termination or expiration of the Agreement for a period of one (1) year.
Usage Audit. If Appian has reasonable evidence to suggest that Customer is using the Appian Software in violation of this Agreement, Appian may, upon reasonable notice and during regular business hours, inspect the computers and records of Customer that are relevant to the particular concern that Appian has and which are reasonably necessary to verify Customer’s compliance with this Agreement (“Usage Audit”). To the extent reasonably practicable, Appian will first attempt to verify Customer’s compliance remotely through the inspection of log files or access to other files, documents, or data, prior to conducting a Usage Audit by visiting Customer’s facilities. Customer shall comply with all reasonable requests made during a Usage Audit, including by making its personnel available to answer questions and providing copies of the relevant records, provided that Appian shall use commercially reasonable efforts not to interrupt Customer’s authorized use of the Appian Software or Customer’s normal business operations. Appian agrees to comply with any generally applicable regulations and procedures governing access to Customer’s facility where the information Appian seeks in connection with a Usage Audit is kept, subject to Customer providing Appian advance notice of the same, in writing, and provided that any conflict between such regulations and procedures and the terms of this Agreement shall be settled in favor of this Agreement. If a Usage Audit results in a finding that Customer has breached this Agreement or that Customer’s use of the Appian Software exceeds the permitted use by more than 5%, Customer shall pay Appian’s actual costs to perform the Usage Audit.
Usage Audit. Your Bridge order provides coverage for a specific quantity of network systems. Optm may at its sole discretion audit Your usage of Bridge. In the event that the quantity of network systems under management by You increases above the quantity described on Your order, Optm will provide You with written notice of the overage. Optm may at its sole discretion: (a) elect to charge You an additional fee for the quantity of network systems over and above the quantity described on Your order; or (b) require You to reduce Your usage to the specific quantity of network systems described on Your order within 30 days. Any additional fees will be calculated on a prorated basis from the date of audit to the end of Your Term.

Usage Audit. During the Term, Company reserves the right to and shall periodically audit your use of the Platform, namely the number of email accounts on which the Platform is deployed in.

Usage Audit. If Appirio believes that Customer has used the Licensed Software or the Crowdsourcing Platform outside the scope of this CS Agreement, upon reasonable notice, Appirio may conduct an audit of Customer’s use during Customer’s normal business hours. Appirio will comply with reasonable security requirements of Customer while conducting such audit.
Usage Audit. Illusive may request once per year that Licensee furnish it with a report in a format requested by Illusive with respect to the use by Licensee of the Software in order to verify Licensee’s usage of the Software in accordance with the terms of this Agreement.
Usage Audit. In the event of a usage audit by Provider, Provider may conduct such audit by itself at its own cost, or engage the services of an Auditor at Provider’s own cost. Provider or Auditor shall be bound by confidentiality terms no less stringent than those set forth in this Agreement. Provider or Auditor shall not run any software on the DOHMH’s systems, nor shall Provider or Auditor conduct the audit at any of the City’s premises. Provider or Auditor shall provide sixty (60) calendar days’ notice prior to an audit. Any audit shall be performed during DOHMH’s normal business hours and in a manner that minimizes disruption to its business.
