Obligations of the Dealer. 4.1 Promptly after the effective date of the Registration Statement, the Dealer shall commence the offering of the Notes for cash to the public in jurisdictions in which the Notes are registered or qualified for sale or in which such offering is otherwise permitted. The Dealer will suspend or terminate offering of the Notes upon request of the Company at any time and will resume offering the Notes upon subsequent request of the Company.
Obligations of the Dealer. Unless otherwise agreed between the Company and the Dealer in writing, any freight and any other expenses arising out of the delivery of the Products to the place other than the Agreed Delivery Place shall be burdened by the Dealer.

Attend to a training session divided in two sessions: one for sales/marketing people and one for technicians people, in our headquarters (Italy) ?? Promote, market, sell and support the Products at its own cost. ?? Ensure that appropriate staff and facilities are available to provide high quality pre- sales, sales, and after-sales support for the Products and any technical solutions devised by the Company, or by the Dealer and the Company jointly. ?? Provide sales forecasts for the upcoming six (6) calendar months, identified as to customer, amount, and probability factor as requested by on a monthly basis. ?? Arrange for suitably qualified staff to complete The Company’s Reseller Certification Training, if required by the Company. ?? To inform the Com pany if the Dealer intends to promote, market, or sell products from another manufacturer or manufactured by the Dealer, if they would be in direct competition with the Products as sold by the Company to the Dealer. ?? Provide such assistance as may be required in fulfilling service requirements of customers within the territory plus holding spares, including technical consultation as may be required both during the warranty period, and at reasonable cost, after the warranty period has expired.
Obligations of the Dealer. The Dealer shall have the following obligations under this Agreement: Should the parties agree to establish POSes at the Dealer’s physical shops, the Dealer shall allow Home Credit’s Representatives to enter the Dealer’s Premises and to use the specified portion of Dealer’s Premises and such equipment, furniture and other facilities as agreed between Home Credit and the Dealer during the tenure of this Agreement. The Dealer shall not charge Home Credit any fee for the use of a portion of the Dealer’s Premises and of any such equipment, furniture and facilities. The Dealer shall likewise allow Home Credit to place posters or other Home Credit materials within its Premises, free of charge. Further, the service fees connected with activities of Home Credit and its representatives in the Dealer’s Premises (electrical energy, water, heat, air conditioning, collection of waste, cleaning, etc.) are to be borne by the Dealer. The Dealer shall also provide Home Credit with internet connection at Dealer’s Premises to be used by Home Credit’s Representative to process the Consumer Financing Agreement and such other transactions necessary, incidental or related to the services offered by Home Credit. The expenses therefor shall be borne by the Dealer. Should the Dealer or Home Credit wish to appoint branches as part of Dealer’s Premises, the Dealer and Home Credit shall approve the branches based on a Letter of Appointment containing the information regarding the branch in the form prescribed in Schedule 3 of this Agreement. Unless directed and/or consented by Home Credit or agreed under this Agreement, the Dealer shall not represent to the Customer in any manner whatsoever that the Dealer/ Dealer’s Representative is an agent of Home Credit or that the Dealer has the authority to approve the financing on the Goods. Furthermore, the Dealer shall not promise or guarantee any approval of Financing Amount to the Customer without the prior consent or instruction of Home Credit. The Dealer shall use its best efforts in assisting Home Credit to promote Home Credit’s Services provided by Home Credit at the Dealer’s Premises, by provision of information about the possibilities to use the Services of Home Credit to the Customers.
