Equipment Limited Warranty. If Webroot provides Equipment to Customer in connection with the Service, the terms of this Section 3 will apply.
Equipment Limited Warranty. In the event that any part of the equipment becomes defective, XXXXXXXXXX agrees to make all repairs and replacement of parts without costs to the Subscriber for a period of ninety (90) days from the date of installation. XXXXXXXXXX reserves the option to either replace or repair the equipment, and reserves the right to substitute materials of equal quality at time of replacement, or to use reconditioned parts in fulfillment of this warranty. XXXXXXXXXX’X warranty does not include damage caused by electric, plumbing or construction, nor damage by lightning, electrical surge, or misuse. XXXXXXXXXX is not the manufacturer of the equipment and other than XXXXXXXXXX’X limited warranty Subscriber agrees to look exclusively to the manufacturer of the equipment for repairs under its warranty coverage if any. Except as set forth in this agreement, XXXXXXXXXX makes no express warranties as to any matter whatsoever, including, without limitation, the condition of the equipment, its merchantability, or its fitness for any particular purpose. XXXXXXXXXX does not represent nor warrant that the equipment may not be compromised or circumvented, or that the system will prevent any loss by fire, smoke or water or otherwise; or that the system will in all cases provide the protection for which it is installed. XXXXXXXXXX expressly disclaims any implied warranties, including implied warranties of merchantability or fitness for a particular purpose. The warranty does not cover any damage to material or equipment caused by accident, misuse, attempted or unauthorized repair service, modification, or improper installation by anyone other than XXXXXXXXXX. XXXXXXXXXX shall not be liable for consequential damages. Subscriber acknowledges that any affirmation of fact or promise made by XXXXXXXXXX shall not be deemed to create an express warranty unless included in this agreement in writing; that Subscriber is not relying on XXXXXXXXXX’X skill or judgment in selecting or furnishing a system suitable for any particular purpose and that there are no warranties which extend beyond those on the face of this agreement, and that XXXXXXXXXX has offered additional and more sophisticated equipment for an additional charge which Subscriber has declined. Subscriber's exclusive remedy for XXXXXXXXXX’X breach of this agreement or negligence to any degree under this agreement is to require XXXXXXXXXX to repair or replace, at XXXXXXXXXX’X option, any equipment which is non-operational. Equipment Limited Warranty. If any equipment supplied by MHz Holdings LLC pursuant to this agreement is found to be defective in material or workmanship during the contract term commitment, then any such equipment will be repaired or replaced at MHz Holdings LLC’s option with comparable new or refurbished replacement equipment. Labor and material required to repair or replace such defective equipment will be free of charge during the term of the commitment. This limited warranty does not apply to: a) damage resulting from accidents, acts of God, alteration, misuse, tampering or abuse; b) failure of the Customer to properly follow operation instructions provided at the time of installation or at a later date; and c) trouble due to interruption of commercial power. The foregoing limited warranty is in lieu of all other warranties, express or implied, including but not limited to, any implied warranties of merchantability or fitness for a particular purpose. No agent, employee or representative of MHz Holdings LLC nor any other person is authorized to modify this warranty in any respect. Equipment Limited Warranty. Xxxxxx+Gyr represents and warrants that the Equipment, including Firmware will, during its applicable warranty period, (a) be new, (b) conform in all material respects with their specifications, (c) be free from all liens, claims and encumbrances and (d) does not fail when Deployed in the field as a result of a material Defect, provided that such Equipment is returned based upon the Return Materials Authorization (RMA) process. Units returned under warranty via an RMA to the designated Xxxxxx+Gyr facility will be repaired or replaced by Xxxxxx+Gyr and then returned to Customer as set forth in Section 8.2 below. The warranty period shall be calculated from date of shipment as follows: (i) for Tech Studio Communication Adapter, six (6) months, (ii) for RF Thermostats, 12 months and (iii) for all other Equipment, 18 months.
