System Acceptance. System Acceptance will occur upon successful completion of the Acceptance Tests. Upon System Acceptance, the Parties will memorialize this event by promptly executing a System Acceptance Certificate. If the Acceptance Test Plan includes separate tests for individual Subsystems or phases of the System, acceptance of the individual Subsystem or phase will occur upon the successful completion of the Acceptance Tests for the Subsystem or phase, and the Parties will promptly execute an acceptance certificate for the Subsystem or phase. If Customer believes the System has failed the completed Acceptance Tests, Customer will provide to Motorola a written notice that includes the specific details of the failure. If Customer does not provide to Motorola a failure notice within thirty (30) days after completion of the Acceptance Tests, System Acceptance will be deemed to have occurred as of the completion of the Acceptance Tests. Minor omissions or variances in the System that do not materially impair the operation of the System as a whole will not postpone System Acceptance or Subsystem acceptance, but will be corrected according to a mutually agreed schedule.

System Acceptance. If NYSDOT determines that the System has not successfully completed the requirements of the system acceptance during the System Implementation Phase, NYSDOT shall promptly notify Consultant in writing (hereinafter referred to as "notice of failure") and shall specify with as much detail as possible in which respects the System does not perform properly. The Consultant shall respond within ten (10) business days with an action plan and schedule to address all issues related to the failure(s). NYSDOT may approve the plan, require changes to the plan or reject the plan. If NYSDOT rejects the action plan provided by the Consultant in response to the notice of failure, NYSDOT may determine that such rejection means that the Consultant is in material default under this Agreement for the purposes of the default and termination provisions of this Agreement, or may at it’s sole discretion, afford the Consultant with additional opportunity to cure the default.
System Acceptance. The TCS Installation Work shall be deemed to have achieved the point of “System Acceptance” by the Joint Board when the following requirements have been met:
System Acceptance. The Contractor shall provide a complete and comprehensive acceptance plan for the system at each Department facility. System acceptance shall be determined by a consecutive thirty (30) day period during which the system must function “error free” after installation. The Contractor shall work with the Department to determine the actual definition of “error free” operation. Failure of the system to meet mutually agreed upon acceptance criteria for more than thirty (30) consecutive days may result in a request for replacement by the Department for that particular system component.

System Acceptance. Upon final completion of each component of the System installation, City and Contractor shall conduct an Acceptance Test. The criteria for the Acceptance Tests shall be as set forth in the Scope of Work (Exhibit A). System Acceptance shall occur upon successful completion of the Acceptance Tests described in the Acceptance Test Plan (Exhibit A, Section 7). When System Acceptance occurs, the parties will memorialize this event by promptly executing a System Acceptance. If, in the discretion of City, the System does not meet the requirements of the Acceptance Test specifications, City may (1) permit Contractor to repair or replace the System so that the same meets the Acceptance Test specifications in all material respects, all at no additional expense to City. All warranties shall become effective and begin to run upon the successful completion of the Acceptance Test. Payment for any part or parts of the System or Services provided hereunder, or inspection or testing thereof by City, shall not constitute acceptance or relieve Contractor of its obligations under this Agreement. City may inspect the components of the System when delivered and reject upon notification to Contractor any and all of the System which does not conform to the Specifications or other requirements of this Agreement. Components of the System which are rejected shall be promptly corrected, repaired, or replaced by Contractor in accordance with Contractor’s warranty obligations under this Agreement, such that the System conforms to the warranties, Specifications and the other requirements of this Agreement. If City receives components of the System with defects or nonconformities not reasonably apparent on inspection, then City reserves the right to require prompt correction, repair, or replacement by Contractor in accordance with Contractor’s warranty obligations under this Agreement following the discovery of such defect or nonconformity.
System Acceptance. Within seven (7) days after Motorola has advised Customer that any increment or all of the System or System Expansion is complete, Customer shall furnish representatives to witness acceptance testing as set forth in the Acceptance Test Plan (ATP) and Exhibit "C." In the event Customer does not furnish representatives within the time frame above, Motorola may proceed with the acceptance tests and send Customer a written report of the acceptance test results, which results shall be as valid as if Customer representatives had personally witnessed the ATP.
System Acceptance. Customer acknowledges that the System shall be deemed accepted on the date of Go Live. In the event that a Customer notifies Xxxxxxxx of a material non-conformity in the Software as compared with the Statement of Work, Xxxxxxxx shall use commercially reasonable efforts to correct the reported non- conformity in accordance with the support provisions set forth in Exhibit D: Maintenance Agreement.
