Shared Personnel. The Payment Amount will include a prorata share of all Personnel Costs of Shared Personnel, as determined by CVR on a commercially reasonable basis, based on the percent of total working time that such Shared Personnel are engaged in performing any of the Services.
Shared Personnel. It is understood that certain of the senior management of ACTV may provide services to the Company from time-to-time. In order to reimburse ACTV for the foregoing, the Company will pay to ACTV for each month in which it is using such senior management, a charge equal to the Company's pro rata share of the aggregate costs actually incurred by ACTV in connection therewith and the provision of such services. Such charge shall be payable within 30 days from the date of billing. The Company may request a review of the amount of the charge hereunder (or discontinuance of same if senior management services of ACTV are no longer being utilized) by giving ACTV written notice of its desire for review (or discontinuance).
Shared Personnel. Immediately prior to the Distribution Date, except for Xxxxxx X. Xxxxxxxx and Xxxxxx X. Xxxx, (i) each Person who is an officer or director of any member of the Broadridge Group and an officer or director of any member of the ADP Group (a “Shared Person”) and who is to continue as an officer or director of any member of the Broadridge Group after the Distribution Date shall resign, effective at or prior to the Effective Time, from each of such Person’s positions with each member of the ADP Group and (ii) each such Shared Person who is to continue as an officer or director of any member of the ADP Group after the Distribution Date shall resign, effective at or prior to the Effective Time, from each of such Person’s positions with each member of the Broadridge Group.

[NAME]'s base salary with Buyer is $_________ per month. Seller will reimburse Buyer for ____% of [NAME]'s base salary in accordance with Section 4(b) of the Transition Services Agreement. The schedule of Shared Employees and his/her base salary is attached hereto. NONE OF BUYER'S FURNITURE, FIXTURES, EQUIPMENT, INTELLECTUAL PROPERTY, SYSTEMS, OTHER TANGIBLE OR INTANGIBLE ASSETS OR EMPLOYEES BEING USED BY SELLER OR MADE AVAILABLE FOR USE BY SELLER OR USED BY BUYER IN PROVIDING TRANSITION SERVICES TO SELLER UNDER THIS AGREEMENT ("BUYER'S PROPERTY") IS BEING TRANSFERRED TO SELLER HEREBY, SELLER IS NOT ACQUIRING ANY OWNERSHIP INTEREST IN ANY OF BUYER'S PROPERTY AND SELLER AGREES TO RETURN ALL OF BUYER'S PROPERTY TO SELLER AT THE END OF THE TRANSITION PERIOD in the same condition in which it was provided at the inception of the Agreement, reasonable wear and tear excepted. SELLER MAKES NO REPRESENTATIONS OR WARRANTIES REGARDING ANY OF THE TRANSITION SERVICES OR ANY OF BUYER'S PROPERTY LISTED ABOVE. EXHIBIT C CONTINUING TRANSITION SERVICES The Continuing Transition Services include the following:
Shared Personnel. Operator shall have the right to allocate the services and time of Hotel Personnel between the Hotel and another Starwood Property, or a division, regional or area office, on a temporary basis or for a specific assignment. The compensation and other costs of such Hotel Personnel shall be allocated to the Hotel and the other Starwood Property, or division, regional or area office (including termination costs, if any, if such employee performs at least six months of service relating directly to such other Starwood Property, or division, regional or area office) on an equitable basis in relation to the work performed by such Hotel Personnel. Operator shall notify Owner of any such allocation of services and time of Hotel Personnel and, upon Owner’s request, shall disclose any related allocation of compensation and costs. All such compensation and costs shall be subject to Section 5.1.4, constitute Operational Expenses and, to the extent anticipated at time of submission of the Operating Plan, be included in the Operating Plan.
Shared Personnel. The Manager may charge as an Operating Expense of the Managed Facilities the costs associated with the services and time of Corporate Personnel allocated to support multiple operations of the Manager or its Affiliates for the business purposes and at the rates prescribed in the approved Business Plan.
Shared Personnel. 2.4.1 DPHS and NRHD will share a joint faculty position through The Center for Public Health Practice and Research, who will serve as interim NRAHD coordinator as defined by a previously executed agreement between VT and NRHD.
Shared Personnel. To the extent that the allocation and costs and expenses are approved by Owner in connection with the Annual Operating Budget, Operator may, at Operator's discretion, utilize an Affiliate of Operator to staff certain Hotel management level positions. In such event, the Owner's payment of its share of the costs and expenses of such Affiliate's wages, salary and benefits shall not be considered payment of or deducted from the Base Fee.
Shared Personnel. To avoid unnecessary duplication of services, and to reduce costs and expenses of Owner, Owner authorizes and acknowledges that personnel under the supervision of Manager may also perform work or services for other areas in the Project and that Owner may be charged on a pro rata basis reflecting the relative portion of time, determined in Manager’s reasonable judgment, a person employed pursuant to this Paragraph 9.4 actually performs work or services required hereunder.
