Within forty-five (45) days before the commencement of each Fiscal Year, the Operating Parties shall submit a proposed Annual Operating Budget, with respect to such Fiscal Year.
The Administrative Agent and the Lenders shall have received an initial Annual Operating Budget, in form and substance reasonably satisfactory to the Lenders, with respect to (i) the remaining portion of the Fiscal Year in which the Conversion Date occurs and (ii) if the Conversion Date occurs after October 1 of the Fiscal Year, the subsequent Fiscal Year.
