Available for Use definition

Available for Use with respect to all High Category Servers shall mean that the System—including the processor and associated storage devices, cabling, peripherals, and other equipment—is running properly so as to enable the proper execution of transactions on those Applications scheduled to run on such System and access to updated current data that is intended to be used in conjunction with such Applications.
Available for Use means the ability of the Application Services to be utilized or accessed as contemplated under the Agreement(s), including conformance to the Specifications, and without material degradation of performance, but excluding Scheduled Downtime. In the event 99.9% Availability during Critical Hours for the Application Services is not achieved, but at least 98.0% Availability for the Application Services during Critical Hours is achieved, then the credits shall be incurred as follows: 10% of monthly Application Services fees for the first month, 15% of monthly Application Services fees for the second consecutive month, and 20% of monthly Application Services fees for the third consecutive month and each consecutive month thereafter. In the event at least 98% Availability for the Application Services during Critical Hours is not achieved, but at least 95.0% Availability during Critical Hours for the Application Services is achieved then the credits shall be incurred as follows: 20% of monthly Application Services fees for the first month, 25% of monthly Application Services fees for the second consecutive month, and 30% of monthly Application Services fees for the third consecutive month and each consecutive month thereafter. In the event at least 95% Availability during Critical Hours for the Application Services is not achieved, then the credits shall be incurred as follows: 20% of monthly Application Services fees for the first month, and 25% of monthly Application Services fees for the second consecutive month, 30% of monthly Application Services fees for the third consecutive month and each consecutive month thereafter. Available for Use shall each of the meaning defined above. “Availability”, for purposes of this paragraph 5.2.2, means the actual number of hours the Application Services are Available For Use during Scheduled Uptime in a given calendar month expressed as a percentage of Scheduled Uptime during a calendar month (i.e., Availability % = ((Number of hours the Application Services are actually Available For Use during Scheduled Uptime – Downtime during Scheduled Uptime)/(Number of hours the Application Services are actually Available For Use during Scheduled Uptime)) x 100%). In the event 97% Availability for the Application Services is not achieved, but at least 93% Availability for the Application Services is achieved, then the credits shall be incurred as follows: 20% of monthly Application Services fees for the first month, and 25% of monthly Application Services fees for the second consecutive month, and 30% of monthly Application Services fees for the third consecutive month and each consecutive month thereafter. In the event at least 93%% Availability for the Application Services is not achieved, then the credits shall be incurred as follows: 40% of monthly Application Services fees for the first month, and 45% of monthly Application Services fees for the second consecutive month, and 50% of monthly Application Services fees for the third consecutive month and each consecutive month thereafter. More Definitions of Available for Use

Available for Use. ’ means that the property, or a portion thereof, has been inspected and approved for occupancy by the appropriate governmental official or, in the absence of such inspection and approval procedures, when the prime contractor has fulfilled all of the contractual obligations. When inspection and approval procedures are non-existent or exist but are not utilized and a prime contractor is not involved, the newly constructed property is available for use when outward appearances clearly indicate it is immediately usable for the purpose intended. Fixtures are available for use when all testing necessary for proper operation or safety is completed.
Available for Use means the ability of equipment, software, systems, data, Servicer Services and functions for which Servicer is operationally responsible, to be utilized or accessed by Bank, the Bank Client, Cardholders or other third-parties as designated by Bank, as intended in accordance with normal operations. “Availability”, unless otherwise defined herein, means the extent to which referenced equipment, software, systems, data or Servicer Services are Available for Use.
