Services as Sub-Administrator. The Sub-Administrator will assist SEI in providing administrative services with respect to each Fund as may be reasonably requested by SEI from time to time. Such services may include, but are in no way limited to, such clerical, bookkeeping, accounting, stenographic, and administrative services which will enable SEI to more efficiently perform its obligations under the Administration Agreement. Specific assignments may include:
Services as Sub-Administrator. Subject to the overall supervision and direction of the Adviser, TSSG will (a) assist in supervising all aspects of each Fund's operations except those performed by the Adviser under its investment advisory or management agreement with each Fund; (b) supply the Adviser with office facilities (which may be in TSSG's own offices), statistical and research data, data processing services, clerical, accounting and bookkeeping services, including, but not limited to, the calculation of the net asset value of shares in each Fund ("Shares"), internal auditing and legal services, internal executive and administrative services, and stationery and office supplies; (c) prepare and distribute materials for all Fund Board of Directors/Trustees Meetings, including mailing of all Board materials, collating the same materials into the Board books and assisting in the drafting of minutes for the Board meetings; (d) prepare reports to holders of Shares ("Shareholders"), tax returns and reports to and filings with the Securities and Exchange Commission, state Blue Sky authorities and the applicable stock exchange; (e) provide any equipment or services necessary for the purpose of pricing Shares or valuing each Fund's investment portfolio and, when requested, calculate the amount of all applicable "Blue Sky" expense limitations; (f) provide compliance testing of all Fund activities against applicable requirements of the 1940 Act and the rules thereunder, the Internal Revenue Code of 1986, as amended, and the Fund's investment restrictions; (g) furnish to the Adviser such statistical and other factual information and information regarding economic factors and trends as the Adviser from time to time may require, it being understood and acknowledged by the Fund and TSSG that TSSG shall not provide any services that would cause TSSG to be deemed to be an "investment adviser", as that term is defined in Section 2(a)(20) of the 1940 Act, including without limitation, services involving the making of recommendations with regard to purchases or sales by the Fund of securities; (h) assist in preparing information in connection with regulatory examinations; and (i) generally provide all administrative services that may be required for the ongoing operation of each Fund in a manner consistent with the requirements of the 1940 Act.
Services as Sub-Administrator. The Sub-Administrator will assist ASC in providing mutually agreed upon administrative services with respect to each Fund as may be reasonably requested by ASC from time to time. Such services may include, but are in no way limited to, such clerical, recordkeeping, accounting, stenographic, and administrative services, as will enable ASC to more efficiently perform its obligations under the Management and Administration Agreement. Specific assignments with which the Sub-Administrator may be asked to assist ASC include:

The duties of UMB shall be confined to those expressly set forth therein, and no implied duties are assumed by or may be asserted against UMB hereunder unless otherwise mutually agreed upon by the Adviser and UMB.

Services as Sub-Administrator. Subject to the direction and control of ASC, the Sub-Administrator will assist in supervising all aspects of the operations of the Funds except those performed by the investment adviser for the Funds under its Investment Advisory Agreements, the custodian for the Funds under its Custodial Services Agreement, the transfer agent for the Funds under its Transfer Agency Agreement and the fund accountant for the Funds under its Fund Accounting Agreement. The Sub-Administrator will maintain office facilities (which may be in the office of the Sub-Administrator or an affiliate but shall be in such location as the Trust shall reasonably determine); furnish statistical and research data, clerical and certain bookkeeping services and stationery and office supplies; prepare the periodic reports to the Securities and Exchange Commission (the "Commission") on Form N-SAR or any replacement forms therefor; compile data for, assist the Trust or its designee in the preparation of, and file all the Funds' federal and state tax returns and required tax filings other than those required to be made by the Funds' custodian and transfer agent; prepare compliance filings pursuant to state securities laws with the advice of the Trust's counsel; respond to fund audits from both independent accountants and regulatory agencies and coordinate Commission inspections; provide support and review of certain periodic Commission and Internal Revenue Service qualification and compliance measurement tests; assist to the extent requested by 3 the Trust with the Trust's preparation of its Annual and Semi-Annual Reports to Shareholders and its Registration Statements (on Form N-1A or any replacement therefor); maintain fund and director insurance as directed by the Trust; assist to the extent requested by the Trust in the Trust's Shareholder Meeting and proxy solicitation process; compile data for, prepare and file timely Notices to the Commission required pursuant to Rule 24f-2 under the Investment Company Act of 1940 (the "1940 Act"); keep and maintain the financial accounts and records of the Funds, including calculation of daily expense accruals; in the case of money market funds, periodically review the amount of deviation, if any, of the current net asset value per share (calculated using available market quotations or an appropriate substitute that reflects current market conditions) from each money market fund's amortized cost price per share; and generally assist in all aspects of the o...
Services as Sub-Administrator. (a) Subject to the direction and control of M&I and utilizing information provided by M&I and the Corporation’s current and prior agents and service providers, the Sub-Administrator will provide the services listed on Schedule B hereto.
