Board Materials definition
Board Materials has the meaning set out in Section 2.3(a);
Board Materials without the prior written consent of the Sub-Adviser. The Adviser shall provide copies of the Board Materials to the Sub-Adviser within a reasonable time following distribution to the Company's Board of Directors. The Sub-Adviser shall not publish or distribute any information including but not limited to, registration statements, advertising or promotional material regarding the provision of investment advisory services by the Sub-Adviser pursuant to this Agreement, without the prior written consent of the Adviser and the Company, which consent shall not be unreasonably withheld or delayed. If the Adviser or Company has not notified the Sub-Adviser of its disapproval of sample materials within five (5) days after its receipt thereof, such materials shall be deemed approved. Materials substantially similar to materials approved on an earlier occasion, with the exception of any regulatory filings, shall also be deemed approved.
Board Materials has the meaning specified in Section 5.9.
Examples of Board Materials in a sentence
The Observer shall have the right to receive notice of, and review the same information and materials ("Board Materials") as are provided to Directors for, such meetings and to speak at such meetings, but shall not be entitled to vote.

Board Materials means all minutes of and documents provided at, considered at, discussed at, or prepared or disseminated, in draft or final form, in connection with, in anticipation of, or as a result of any meeting, whether formal or informal, of the members of the Board, or any regular or specially created committee thereof, including, without limitation, all presentations, Board packages, recordings, agendas, preparation materials, summaries, memoranda, charts, transcripts, notes, minutes of meetings, drafts of minutes of meetings, exhibits distributed at meetings, summaries of meetings, and resolutions. Board Materials include documents hosted on electronic portals or platforms, including, without limitation, any edits, notes, comments, or communications, hosted on such portal or platform.
Board Materials means all documents (including any drafts) provided to or considered by the Board of Directors, concerning the assets, debts, dealings, operations, businesses, or potential restructuring of the Debtors and actual or potential investments in or by the Debtors, including without limitation documents related to advice by counsel and/or financial advisors.
