Provision of Information and Assistance. County will provide all necessary and reasonably requested information, direction and cooperation to enable Contractor to provide the services, and any direction (whether verbal or written) shall be effective if received (whether verbally or in writing) from a person known to Contractor or reasonably believed by Contractor to be authorized to act on County’s behalf. County agrees that Contractor shall use all information and data supplied by County or on County’s behalf without independently verifying the accuracy, completeness or timeliness of it. Contractor will not be responsible for any delays or liability arising from missing, delayed, incomplete, inaccurate or outdated information and data, or if Contractor does not provide adequate access to its employees, agents or other representatives necessary for Contractor perform the services. Contractor will be entitled to charge County in respect of any additional work carried out as a result.

Provision of Information and Assistance. 14.1 Each Party must provide to the other Party such information, co-operation and assistance as the other party reasonably requests from time to time to enable it to perform its obligations under this Agreement.
Provision of Information and Assistance. (i) Provision of Information. SLM BankCo shall provide to Navient, and Navient shall provide to SLM BankCo, any information in its possession (or in the possession of a member of its Group) requested by the other party that such party requesting such information reasonably needs to properly and timely file any Separate Returns pursuant to Section 3.2(a) or (b). Such information shall be provided within the time prescribed by Section 3.1(c) for the provision of information for Joint Returns. In the event that SLM BankCo or Navient fails to provide information within such time period or in the form reasonably requested by the other party to permit the timely filing of a Separate Return, the indemnification principles of Section 3.1(c) shall apply with respect to any penalties, interest, or other payments imposed against any member of the SLM BankCo Group or the Navient Group by reason of any resulting delay in filing such return.
Provision of Information and Assistance. During the Transition Period and for a period of twelve (12) months after the end of the Transition Period, upon reasonable written notice, each Party will make or cause to be made available to the other Party, and their respective Representatives, during regular business hours, all information and assistance as is necessary for any reasonable business purpose relating to the Spinco Business, including, financial reporting and accounting matters and in connection with any disclosure obligation or the defense of any Action (except in the event the Parties are opposing one another in an Action, in which case normal discovery rules shall apply). Notwithstanding anything in this Agreement to the contrary, (x) other than as set forth in the Merger Agreement, information provision relating to Tax matters shall be exclusively governed by the Tax Matters Agreement and, to the extent applicable, the Contribution and Distribution Agreement and the Employee Matters Agreement (as applicable), and not this Agreement and (y) neither Party shall be required to provide access or disclose information (including any Personal Information), where such access or disclosure would conflict with any (1) Law or Order applicable to either Party or their respective assets, information or operation of their respective businesses, or (2) Consent previously given by any natural person relating to the collection, acquisition, storage, use, disclosure, transfer or any other processing (as defined by applicable Law) of data (including Personal Information); provided, however that in the case of this clause (y), the withholding Party shall use its commercially reasonable efforts to disclose the applicable information and otherwise communicate the applicable information to the other Party in a way that would not result in such a conflict.
Provision of Information and Assistance. The Data Processor shall cooperate and reasonably assist the Data Controller with any data protection impact assessments, prior consultations regarding relevant competent data protection authorities and with any other assistance related to compliance with the obligations of the Data Controller pursuant to the GDPR and other Applicable Laws. The scope of such assistance shall be limited to the processing of the Personal Data by The Data Processor.

Provision of Information and Assistance. 8.3.1 Following notification as set out in Clause 8.1.2 (Third Party Claims) each Party will within five (5) Working Days provide each of the other Parties with such information concerning the Third Party Claim as the other Parties shall reasonably request. Notwithstanding this provision any Party, acting reasonably, may decline to provide such information to one or either of the others in order to protect privileged or confidential information from disclosure to third parties.
