Prices; Taxes. 1.1 Prices are subject to change at any time, except with respect to orders which have been accepted by Seller and outstanding quoted prices which shall be valid for the longer of 10 days or the period specified with the quote. All prices are based on the quantity indicated and are Ex Works (“EXW” - Incoterms 2010) Seller’s facility. Any notice or instruction from the Buyer requesting a change in the quantity specifications, scope of work, or other terms, will not be effective unless accepted in writing by Seller, including appropriate adjustments to price, specifications, delivery date and other terms. Seller reserves the right to correct errors in pricing due to inaccurate or incomplete information, clerical mistakes or other causes.

Prices; Taxes. Except as otherwise set forth herein, all prices described in the PO are firm unless otherwise agreed to in a writing signed by Buyer, constitute Seller’s entire compensation for its performance under this Agreement, and include all applicable charges for foreign, federal, state and local taxes, import duties, license fees, demurrage, insurance, packing, freight, tariffs or other governmental charges, if any. Buyer shall not be responsible for any additional costs. There is no minimum order quantity or volume required from Buyer when ordering Goods, unless otherwise specified in the PO. Seller shall, upon request of Buyer, inform Buyer whether the Goods are imported or manufactured with imported materials and furnish Buyer with all documentation required for duty drawback for product or imported materials contained in the Goods purchased by Buyer hereunder. Seller agrees that in any case where freight regulations covering goods transported by a common carrier establish a maximum limit on the carrier’s liability for loss or damage suffered in transit, Seller will be liable to Buyer for any loss or damage in excess of such maximum limit.

Prices; Taxes. The price of the Products shall be set forth in the Agreement, or, if no price is stated in the Agreement, on the invoice issued by Seller. Except for taxes on Seller’s net income, Buyer shall be liable for and pay all sales, excise, and other taxes and duties, and other customs charges, relating to any and all Sales hereunder. Unless otherwise agreed by the parties in writing, the prices provided by Seller are exclusive of VAT, transportation costs, any taxes, duties or charges which may be levied on the Sale of Products.

Prices; Taxes. 2.1. The price set for in Supplier’s Quotation (“Price”) are in United States Dollars. If any payment by the Customer is subject to withholding tax, the Customer agrees to increase the amount of any payment which is subject to a withholding or pay an additional amount as is necessary to ensure that Supplier receives the same amount it would have received if there had been no withholding. Customer shall deliver any certifications and other documents required to demonstrate eligibility and to benefit from any exemption or other relief from any Tax. 3. PACKAGING, SHIPPING 3.1. Supplier shall pack all Products in accordance with its standard commercial practices. If Customer has any special shipping or handling requirements, Customer shall notify Supplier in a timely manner regarding any such special requirements, and Customer shall be responsible for any increase in cost to pack the Purchase Order. 3.2. The Price does not include any shipping or handling charges, and Customer shall incur both the cost and the risk for bringing the Products to their final destination. Supplier shall notify Customer when the articles are available at Supplier’s facility for pickup and Customer shall be responsible for arranging to have the articles picked up from Supplier’s facility, and for completing any export documentation and clearing the Purchase Order through US Customs. In the event Customer would like for Supplier to deliver the articles to a specified destination, the destination shall be clearly identified in the Purchase Order and Customer shall provide an account number that Supplier can use for the shipping c...
