Government Authority. The United States of America or any state, district, territory, or possession thereof, any local government within the United States of America or any of its territories and possessions, any foreign government having appropriate jurisdiction or any province, territory, or possession thereof, or any court, tribunal, administrative or regulatory agency, taxing or revenue authority, central bank or banking regulatory agency, commission, or body of any of the foregoing.
Government Authority. The General Partner has all governmental, regulatory and other approvals and licenses and has effected all filings and registrations including, without limitation, registration as a commodity pool operator under the Commodity Exchange Act, as amended, and membership in NFA, as a corporation under the laws of the State of Delaware, required to conduct its business as described in the Prospectus or required to perform its obligations as described therein or under the limited partnership agreement, the power of attorney to the CTA, this Agreement and the Brokerage Agreements, and covenants that it will use its best efforts to maintain such approvals, licenses, filings, registrations, and memberships in full force and effect.
Government Authority. 1.1 This Management of Balancing Agreement is made pursuant to the regulations of the Federal Energy Regulatory Commission ("Commission") contained in 18 C.F.R. Part 284, as amended from time to time, and pursuant to Rate Schedule MBA and the applicable General Terms and Conditions of Transporter’s FERC Gas Tariff.
Government Authority. A judiciary, legislative, political or administrative authority in Peru, empowered by the Applicable Laws to issue or construe general or particular regulations or decisions, with binding effect for the entities within its scope. Any reference to a particular Government Authority shall include such authority, its successors or agents appointed by it to perform the actions established in the Contracts or Applicable Laws.
Government Authority. Any Federal, national, state, municipal, local, --------------------- territorial, or other governmental department, commission, board, bureau, agency regulatory authority, instrumentality, judicial or administrative body, domestic or foreign.
Government Authority. The Issuing Lender and the Lenders shall not, in any way, be liable for any failure by the Issuing Lender or anyone else to pay any drawing under any Letter of Credit as a result of any Government Acts or any other cause beyond the control of the Issuing Lender and the Lenders.
Government Authority. It will use commercially reasonable efforts to obtain and maintain all authorizations, consents, filings, exemptions, registrations and other governmental approvals necessary in connection with the execution, delivery and performance of this Agreement, the consummation of the transactions contemplated hereby or the operation and conduct of its business and ownership of its properties, except to the extent such failure to obtain or maintain would not have a material adverse effect on the Company’s business or financial condition or its ability to deliver or perform under this Agreement or consummate the transactions contemplated hereby.
Government Authority. This Agreement and any amendments, exceptions or additions hereto shall be subject to the approval of the HA. The HA shall receive one of the original executed copies of this Agreement. This Agreement shall in no way limit the authority of the Governments of Greenland or any part thereof to exercise their authority according to the law and the prevailing rules and regulations and which are at any time in force for activities covered by this Agreement.
Government Authority. Except for those are disclosed in the disclosure schedule, there is no litigation or investigation launched by any government authority or other entity that may limit or prohibit or in any way obstruct the transaction under the Agreement or directly or indirectly through laws or regulation prohibit or substantially limit the Company’s current business, and there is no any unauthorized or illegal donation or payment by the Company.
Government Authority. All costs, expenses, or fees incurred in connection with the filing, prosecution, maintenance, defense or enforcement of any Joint Program Patents pursuant to this Section 7.4(c) shall be divided equally between Mersana and Adimab; provided that, as to any Joint Program Patent in any country, the Non-Filing Party may, upon notice to the Filing Party, at any time elect not to pay any such costs, expenses, or fees incurred after the date of such notice, in which case the Non-Filing Party shall assign to the Filing Party all of the Non-Filing Party’s rights in such Joint Program Patent in such country.
