MAINTENANCE AND TRAINING. Simultaneously with the execution of this Agreement, Licensee may enter into a Maintenance Agreement with Nabnasset. Upon shipment of the Licensed Software and the execution of the Maintenance Agreement. Licensee shall be provided by Nabnasset any and all released updates, maintenance, and support of the Licensed Software pursuant to the terms of Nabnasset's Maintenance Agreement. In no event shall Nabnasset be under any obligation to revise or update the Licensed Software or to maintain or support the Licensed Software in the event of a termination of the Maintenance Agreement unless Licensee agrees to obtain such update or support in a time and materials basis. Upon the request of Licensee, Nabnasset will provide programming, project management, consulting, and other related services at its then current published hourly rates. The scope and charges for such services will be specified in a mutually satisfactory task order, which task order shall become effective upon acceptance and execution by Licensee and Nabnasset.

MAINTENANCE AND TRAINING. You may purchase, at the prices and for the term set forth in Schedule B, Our standard Program Maintenance Services which consists of the following: (i) New standard releases of software specified by Us as part of Program Maintenance Services and (ii) problem solving as described below. New releases shall be considered as part of the Comshare Products. Program Maintenance Services specifically exclude new releases and/or new versions of computer programs which are offered to the general public at an additional charge or which are contracted for by a third party. When a problem occurs which You determine is caused by the use of the Comshare Product, and the diagnosis by Our representative indicates a problem is caused by a defect in an unaltered current release of the Comshare Product. Our representative will (1) supply You with correction information to the extent available; and (2) advise You concerning any planned resolution. We will make a reasonable effort to correct materials defects confirmed by Us. The foregoing sets forth Our entire maintenance obligation. We shall have the right to charge reasonable fees if we spend time investigating or fixing a problem which is not caused by a current standard release of a Comshare Product. Due to difficulties in providing maintenance on a piecemeal or component basis. We reserve the right to refuse to provide maintenance for less than all systems and components under license. See the Schedules for information on Training.
MAINTENANCE AND TRAINING. CITY shall have no obligation or responsibility whatsoever to provide maintenance for the Equipment, or training on the use of the Equipment.
MAINTENANCE AND TRAINING. Corecon will maintain the Service as Corecon, in its sole discretion, deems necessary and advisable. Corecon and/or a Corecon Channel Partner designated by Corecon will provide such training and services to You and/or Your licensed Users as are included as part of Corecon’s standard customer service offering, subject to the terms and conditions of this Agreement. Corecon is not obligated to provide any services to You that are not included in the Service or this Agreement, regardless of any representation made by others, including a Corecon Channel Partner.

MAINTENANCE AND TRAINING. During the Term TGCC will maintain or cause to be maintained, and make all necessary repairs or cause such repairs to be made to the System, including all warranty work on all hardware and software associated with the Counter Top Unit. TGCC will provide training to personnel designated by Customer in the operation of the System, including, but not limited to, the method of reconciliation contemplated by Section 1e of this Agreement. TGCC will also conduct training sessions via telephone, as requested and approved by Customer, for representatives of the Property's retail establishments.
MAINTENANCE AND TRAINING. Operator shall provide, at no cost to TGCC, the personnel necessary to (i) periodically monitor the inventory of Mall Gift Card stock, (ii) restock and secure the stock as needed and (iii) notify TGCC or its designated agent of any malfunction with, or damage to the System or any component thereof within twenty-four (24) hours of operator being notified of the problem. In addition, Operators personnel shall cooperate with TGCC in performing TGCC's periodic maintenance and diagnostic procedures on the System's hardware and/or software components ("Components") to determine if and when any periodic or preventative maintenance is needed or if a TGCC designated service organization should be called. TGCC shall provide, or cause to be provided, all necessary maintenance and repair, typically within twenty-four (24) hours of Operator's request therefore. Operator agrees to make personnel available at the Property to assist users of the System in purchasing Mall Gift Cards at the customer service counter. TGCC shall provide training to appropriate Operator personnel.

MAINTENANCE AND TRAINING. During the Term of this Agreement, TGCC shall maintain or cause to be maintained, and make all necessary repairs or cause such repairs to be made to the System, including work on all hardware and software associated with the Components to the extent damage is not due to negligence or willfulness by the Operator. If negligence if caused by Operator, TGCC shall be reimbursed within 15 days from Operator. TGCC shall provide an instructional manual for the Components, at no additional cost to the Operator. TGCC shall provide training to personnel designated by Operator in the operation of the System, including, but not limited to, the method of financial reconciliation contemplated by Paragraph 1.5 of this Agreement. TGCC shall also conduct training sessions via telephone, as requested by Operator, for representatives of the Property.

MAINTENANCE AND TRAINING. Concurrently with the execution and delivery of this Agreement, Licensee shall enter into the Service Contract with Christie. During the Initial Term of this Agreement, Licensee shall maintain in effect the Service Contract with Christie or a comparable service contract with another service provider acceptable to Licensor and shall maintain the Digital Systems in good order and repair during the Initial Term normal wear and tear excepted. The Service Contract provides for training of Licensee personnel, and Licensee will in any event maintain an adequate theater staff properly trained in the use of Digital Systems. Licensee will not do anything which would render Digital Systems non-compliant with, or prevent Digital Systems from being compliant with, the DCI Specification during the term of this Agreement. Any replacement parts substituted for any parts or components of Equipment shall become the property of Licensor covered by the relevant Equipment Schedule for such Equipment.
